Job Description:

The Corporate and Securities Legal Counsel assists in the provision of legal services and advice, including drafting and negotiation of investment, commercial and corporate contracts, agreements and other documents, assisting with public company and subsidiary governance, and preparing public company securities filings (1933 Act and 1934 Act). This Legal Counsel provides advanced level of timely, high-quality legal advice and assistance to Global Legal Services (“GLS”) attorneys and business clients with an emphasis on commercial and corporate issues and transactions, and proactively serves clients and others with a responsive, service-oriented attitude and strong work ethic.

Collaborate and communicate with members of the GLS team and business clients to perform advanced assignments and projects involving a moderate level of complexity, as directed.Provide advanced level of timely, high-quality legal advice and support. Proactively serve clients with a strong work ethic, appropriately escalating matters when necessary.Assist, as assigned, in preparing investment, commercial, corporate and securities contracts, documents and other essential legal documents.Apply advanced knowledge and experience to identify legal issues and provide advice on alternatives to mitigate risk to the enterprise while achieving client goals and objectives.Assist, as needed, in due diligence and document review and preparation processes in connection with transactional matters.Research and analyze legal issues and questions using appropriate resources.

Required:Advanced knowledge of U.S. laws and regulations.Advanced knowledge of legal and contract terminology and methods; general business and financial knowledge.Advanced ability to identify and interpret business and contract issues.Advanced client counseling skills in translating business needs and problems into viable and accepted solutions.Excellent client service and interpersonal skills, with continual focus and dedication to high level of client service.Excellent skills with respect to drafting, review, proofreading, negotiation, persuasion, and oral and written communication. Demonstrated ability to clearly present appropriate business terminology and concepts.Highly organized and results oriented with strong attention to detail.Strong time management skills and ability to meet deadlines.Ability to set goals, multitask and prioritize workload.Ability to be flexible when needed, take initiative, and demonstrate accountability.Ability to interact and work collaboratively and constructively with people at various levels within and outside the organization.Ability to work well within a team environment and participate in department/team projects.Ability to maintain a high level of confidentiality.Committed to acquiring new skills and knowledge of changing technologies and practices.Proficient knowledge of Word applications with an ability to develop and maintain document automation templates, acquire new skills, and knowledge of changing technologies.

Qualifications:

Education and Experience:Law degree from a United States accredited law school.Bachelor’s Degree from accredited university or college.Licensed to practice law in at least one U.S. State.3 to 5 years’ experience as an attorney in a law firm or in a corporate legal function, including work on complex transactions.Business, finance or accounting degree or experience; working knowledge of concepts, terminology and practices.
