Overview:Epiroc in the U.S. has an opening for a Legal Counsel to be based in one of our primary locations which includes the

Dallas, Texas or Denver, Colorado areas, but may also include other areas such as Portland, Oregon or Eastern Iowa (Cedar Rapids, Dubuque area)

following the company's recent completion of the acquisition of Stanley Infrastructure from Stanley Black & Decker, Inc, a strategic acquisition which will strengthen Epiroc's presence in the attachments business in infrastructure and construction, especially in the United States.The role will be responsible to support the growing business needs of Epiroc across the U.S. as part of Epiroc's Group Legal function headquartered in Stockholm, Sweden which includes Group Compliance and Group Risk Management & Insurance. Our legal team currently includes lawyers based in Sweden, US, Canada, China, Russia, and Australia.Reporting to our Vice President, General Counsel Americas, you will be responsible for providing legal advice and support to existing and acquired businesses and assisting in regional and global legal matters as assigned.You will also help implement global strategy within the area of Group Legal and Compliance.You will play a key role in the development and implementation of business-focused legal strategies to drive business and ensure risk mitigation.Under the supervision of our Vice President, General Counsel Americas, you will guide and counsel business leaders to ensure understanding and implementation of necessary legal measures for successful operation of the Company's businesses.Responsibilities:Provide legal advice and counsel to management across a broad range of legal issues.Contract negotiation: Assists with negotiation of frame agreements, contracts, joint development agreements, supply agreements, dealership arrangements, and other contractual terms together with relevant business managers.Legal strategies: Anticipates and identifies legal issues of concern to management and proactively contributes to effective legal strategies and practical solutions.Governance: assist with corporate governance and management of corporate filings and requirements, working closely with our corporate paralegal as needed to ensure local legal and governance requirements are met.Support implementation of the Epiroc Code of Conduct and on-going integrity training and assists in investigation and resolution of any issues that arise as directed.Company guidelines and instructions: Assists with the implementation of both local and Group policies, directives, and instructions and monitors on-going compliance.External service providers: Liaise with external legal counsel as needed.Training: Provides legal training for managers and employees as needed.Manage and support the business in cost-effective and timely resolution of business disputes and litigation matters.Act with a high degree of initiative, independence, and integrity to identify and recommend appropriate courses of action, bringing to bear legal guidance and business acumen.Provides advice to meet strategic goals and to protect business reputation, interests, and ensure compliance with relevant laws and regulations.Ongoing monitoring of applicable laws, regulations, and policies and publication of and training on the same to business colleagues as needed to support the business.Minimum Qualifications:Min 3 to 8 years of relevant experience in business/commercial law (in-house or law firm)Undergraduate university degree and degree in Law (JD)Licensed to practice in good standing in the State Bar where primarily located is required; admission to other state Bars where Epiroc is active would be helpful.Strong written and verbal English language skillsPractical, business-minded, efficient, and collegialDemonstrated ability to work in a dynamic and fast-paced environment effectively managing significant and multi-faceted workload efficiently.Excellent analytical, communication, research, and writing skillsA results-oriented professional with strong common sense, attention to detail, and solid business acumenUnderstanding of technical concepts and have interest in technology and heavy equipment industry, experience in resources extraction industries would be helpful (mining, oil and gas, agriculture)Independent, autonomous, and authoritative with strong decision-making abilityMust have skills:Drafting and negotiating customer and supplier contractsInsurance coverage matters related to contracts and claims management.Training and investigation in company compliance matters and policiesDispute analysis and resolution management.Good to have skills:Advising on all aspects of employment and labor mattersCorporate entity management and governanceIntellectual property (software licensing, patent and trademark advising)Real estate and environmental issuesOccupational and product safety and regulatory complianceLitigation and/or litigation managementMergers and acquisitions and integration of acquired companies.The Salary Range for the position is expected to be between $135,000 to $180,000 depending on experience/skill level.
