As Corporate Counsel, Digital and Sourcing Transactions, you will provide legal support for Pfizer’s complex digital licensing deals and procurement transactions across all Pfizer businesses.
The core function of this role will be to counsel business leaders on transaction terms, potential risks, and mitigation strategies associated with sourcing and digital transactions and the adoption of new technologies in Pfizer. You will be advising clients in emerging subject areas – where the legal framework is still emerging and/or Pfizer may be leveraging technology in new ways. The role will also involve collaboration with other subject matter experts in project teams.
You will be part of the Business Transactions Group in Pfizer’s Legal Division, a high-powered team of talented attorneys dedicated to supporting Pfizer’s strategic transactions.
ROLE RESPONSIBILITIES
Draft and negotiate contract terms.
Counsel business clients on the adoption of novel technologies and partner with them to identify/mitigate potential risks.
Partner with clients, legal and non-legal subject matter experts and other internal stakeholders to identify potential risks associated with proposed transactions and develop risk mitigation strategies.
Advise on whether proposed business activities are permitted under applicable agreements and Pfizer policies.
Advise clients and negotiate settlement agreements when disputes arise with vendors.
Develop and improve governance and guidance documents and processes, including templates, training, and other guidance.
Coordinate and participate in cross-functional project teams.
Supervise and manage external counsel support for transactions.
Support and contribute to Pfizer Legal Division projects, committees, and initiatives.
Qualifications
MUST-HAVE:
Bachelor's degree or equivalent.
Juris Doctor degree or foreign equivalent required.
Member of State Bar in good standing.
7+ years of experience.
5+ years’ experience in a large national or international law firm and/or in-house legal department at a major corporation, preferably in the life sciences industry.
Extensive experience advising on AI/GenAI, SaaS/PaaS/IaaS and software and data related transactions.
Experience with a variety of technology-related transactional terms and structures, including data licensing, EULAs and Terms of Use, and open source.
Experience advising on cybersecurity, privacy, and IP-related issues, where relevant to transactional practice.
Experience advising on non-digital sourcing transactions, such as consulting and other professional services agreements.
Business acumen, including experience with counseling business clients in a corporate environment.
Ability to evaluate and mitigate risk, including successfully navigating areas where there is uncertainty regarding the emerging legal framework or other sources of ambiguity.
Excellent written and verbal communication skills, including the ability to provide succinct, business-oriented advice on complex issues.
Strong leadership and influencing skills.
Sound and practical judgment.
Ability to work independently or coordinate a team under tight timelines and to plan, prioritize and organize multiple cross-functional tasks.
Ability to manage a busy and diverse workload and identify and prioritize the most critical legal issues.
Strong organizational skills, ability to drive projects from start to finish.
Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact.
NICE-TO-HAVE:
Technological background, or demonstrated ability to learn in this area, especially as to AI, including GenAI.
Experience drafting terms of use and EULAs for websites and mobile apps.
Demonstrated ability to work across an organization towards a common goal.
Experience working (or supporting clients) in the life sciences or other highly regulated industries.
Experience with developing templates for higher volume work, and associated guidance, trainings, and processes.
Experience with supporting M&A and similar strategic transactions, including as a subject matter expert.
NON-STANDARD WORK SCHEDULE, TRAVEL OR ENVIRONMENT REQUIREMENTS
Up to 5% domestic travel will be required.

The annual base salary for this position ranges from $173,300.00 to $288,800.00. In addition, this position is eligible for participation in Pfizer’s Global Performance Plan with a bonus target of 22.5% of the base salary and eligibility to participate in our share-based long-term incentive program.
