We are working with a $5B+ AUM private equity fund based in Miami seeking an experienced General Counsel to join their team. This is an exciting opportunity for a legal professional with 8-10 years of experience from a top law firm to step into a key leadership role at a high-performing fund.
The ideal candidate will have a strong background in private equity, M&A, and fund-related matters, and a proven ability to manage complex legal issues. They will play a crucial role in providing strategic legal guidance to the fund, working closely with senior management, and overseeing all legal functions.

Key Responsibilities:
- Collaborate with legal teams and internal stakeholders to ensure compliance in marketing and fund documentation.
- Manage the drafting and negotiation of various legal agreements and contracts.
- Ensure compliance with relevant securities laws and industry regulations.
- Work with the Investor Relations team on marketing and fundraising materials.
- Assist in developing and managing company policies.
- Support corporate transactions, including due diligence and legal documentation.
- Prepare and review legal documents related to employment and vendor agreements.
- Coordinate with compliance and finance teams on regulatory filings and documentation.
Qualifications:
- Minimum 2016 JD or equivalent legal degrees from an accredited, top-tier law school.
- 8-10 years of legal experience in transactional practice at a top law firm and/or in-house experience.
- Extensive knowledge of private equity and related transactions.
- Ability to manage high-stakes, complex legal matters.
- Strong leadership and communication skills.
