Senior Counsel

The Role:

The Senior Counsel serves as a legal partner for the Commercial Business Unit of Cox Communications which includes, Cox Business, RapidScale, Hospitality Network, and BluePrint RF, with total annual revenues of approximately $3.5+ Billion. This individual will be responsible for providing expert and strategic legal advice to sales business leaders and for supporting collaboration across multiple business groups and practice areas. The role will be a trusted advisor, deal negotiator, and partner to multiple fast-paced and sophisticated sales teams.

The qualified candidate must be able to address a wide range of transactional and commercial matters that affect day-to-day business operations, including drafting, negotiating, and interpreting commercial contracts, advising on business strategy, collaborating with various Cox attorneys (that specialize in litigation, compliance, labor and employment, intellectual property, etc.), and offering general legal support to the business. The ideal candidate will have strong experience in commercial contracts, general corporate matters, and counseling business leaders across a wide range of transactional matters.

Responsibilities:

Provide legal counsel and strategic advice to the Commercial Business Unit of Cox Communications including Cox Business, RapidScale, Hospitality Network, and BluePrint RF on a broad range of day-to-day operational legal topics, including commercial transactions and contract negotiations, operational efficiencies, and general business matters with a primary focus on sales transactions.Serve as primary counsel for and partner with leadership to resolve issues presented in contract negotiations for sales.Review, advise on, and negotiate a variety of commercial sales contracts and provide legal guidance on responses to sales RFP's, RFI's, RFQ's, etc.Serve as a strategic partner to drive results and identify legal and process improvements to create value, increase efficiencies, reduce cost, and mitigate risk.Coordinate with subject matter legal experts and other in-house attorneys to ensure efficient delivery of legal services while providing leadership to sales teams.Responsible for identifying and helping to address difficult issues, developing and evaluating alternatives, providing advice and implementing solutions in the context of complex and significant sales transactions.Assist and guide the development, implementation and deployment of forms, procedures, policies, training, and playbooks designed to create operational efficiencies in contract review for sales teams, while protecting the interests of Cox.Develop strong relationships with internal contacts, including, but not limited to, other in-house attorneys, Information Security, Risk Management, Finance, Tax, and other appropriate departments to ensure high service level and anticipate special needs.Responsible for effectively managing outside counsel.

The ideal candidate will have:

Experience as a deal negotiator for various sized contractual transactions and excellent drafting and negotiation skills.Familiarity with the operational transactional needs of a high-volume sales organization.A vision of how to make a sales organization more efficient through use of innovative technology, training, playbooks, guides for sales, management of sales contract templates, etc.Excellent communications skills and the ability to update leadership on deal negotiations by summarizing and communicating key issues.Excellent problem-solving skills and the ability to act independently with little supervision.Experience engaging and managing outside counsel in an effective and efficient manner.A team-player with the ability to work collaboratively with cross-functional teams throughout various parts of the US where Cox Business operates.Excellent interpersonal skills with a demonstrated ability to build strong working relationships with the sales organization and their boundary partners, understand their strategic direction, and support them accordingly.

Qualifications:

Juris doctor (JD) from an accredited law school and active license to practice law in at least one state.8+ years of legal experience as a practicing attorney, including several years as a transactional lawyer.Proven experience working with a legal team for an established corporate sales department, including drafting and negotiating a wide variety of commercial agreements in a fast-paced environment.Ability to manage outside counsel.Ability to partner with subject matter experts and other in-house attorneys to provide a seamless experience to internal clients in addressing and resolving legal issues.Business-minded attorney with strong initiative, excellent client counseling, collaboration, and problem-solving skills. A business partner, who likes working side-by-side with business teams and has the ability to effectively manage opposing views.A focus on client needs with a commitment to timing, quality, and client service.A strong work ethic and the ability to prioritize and follow through on numerous projects simultaneously.Excellent customer service, time management, project management and follow-up skills.Other duties as needed or required.

Experience in any of the following areas is not required, but is a plus:

In-house legal or sales experience.Experience supporting a large sales organization.Experience with legal support and integration of newly acquired companies.Familiarity with legal support of RFP responses.Familiarity with government funding (e.g. E-rate or other).Experience with sales agent agreements.Experience in the communications and/or technology industry, including experience with public cloud, private cloud, managed and professional services.Telecommunications, Internet, Wi-Fi, video, phone, fiber transport, dark fiber leases, IRUs, fiber operations and maintenance agreements, wireless technologies, small cell, smart city, and similar technologies.Technology sales to commercial customers, including sales to wireless customers, wireline customers, aggregators, value added resellers, hyperscalers, government customers, and large industries such as technology, wireless communications, education, hospitality, healthcare, and banking.

Compensation:

Compensation includes a base salary of $171,800.00 - $286,400.00. The base salary may vary within the anticipated base pay range based on factors such as the ultimate location of the position and the selected candidate's knowledge, skills, and abilities. Position may be eligible for additional compensation that may include an incentive program.

The Company offers eligible employees the flexibility to take as much vacation with pay as they deem consistent with their duties, the company's needs, and its obligations; seven paid holidays throughout the calendar year; and up to 160 hours of paid wellness annually for their own wellness or that of family members.
