In this crucial role, you will provide support to the Corporate Legal team with a specific focus on North American subsidiary corporate governance work, covering both domestic and international matters.
Role Responsibilities
Handles subsidiary management and maintenance, including regulated entity board meeting management, annual/quarterly reports and filings, and maintaining corporate and subsidiary records by organizing both physical copies of minutes books and maintaining records through an online platform.
Responds to various internal requests for corporate information, including regulatory exam documentation, internal audit requests, and treasury requests.
Supports the annual proxy statement and stakeholder outreach, and various securities and treasury matters, including public debt offerings, banking, and other agreements.
Supports merger and acquisition efforts such as due diligence, non-disclosure agreements, and project management.
Role Requirements
Minimum 3+ years legal experience with a law firm or corporate legal department.
ABA approved paralegal certificate is preferred. An advanced degree from an accredited school with applicable work experience will also be considered.
Strong research skills.
Solid organizational skills.
Excellent written and verbal communication skills with the ability to provide analytical and consultative direction.
Ability to communicate effectively with all levels of management.
Capable of routinely working with highly confidential and sensitive information.
Demonstrated experience with review of complex legal documents and/or preparation of complex legal responses/documents at a paraprofessional level.
Familiarity with platforms such as Boardvantage and hCue is a bonus.
Notary would be a major plus.
Salary
The base salary range is $78,750 – 105,000 USD per year, total on target compensation includes a base salary and short-term incentives that align with individual and company performance. Actual salaries will vary based on candidates’ qualifications, skills, and competencies.
