is seeking a
Business and Transaction Paralegal
to support lawyers both inside and outside the department to provide the highest quality of legal assistance to our clients. This position will work primarily with the Emerging Growth and Venture Capital practice in Philadelphia.
The selected paralegal will possess a mastery of technical and administrative skills, assume responsibility with minimal supervision, exercise initiative and judgment to make decisions within the scope of their assigned authority, work individually and as part of a team, and practice collaboration with firm employees in all offices.
Responsibilities:
Preparing due diligence documentation and assisting with closings, including organizing, proofreading and tracking documents;
Preparing summaries in connection with disclosure documents;
Coordinating the execution of closing documents;
Assisting with researching federal, state and local laws;
Preparing Blue Sky searches and UCC and other required filings.
Candidates considered will be detail-oriented, have good judgment and problem-solving skills and be able to manage multiple priorities within time constraints. They will also be proactive self-starters with demonstrated experience maintaining high-quality work product in a fast-paced team-oriented environment. Strong oral and written communication skills, organizational and interpersonal skills are necessary to be successful in this position.
Minimum Requirements:
A four-year college degree or significant relevant work experience in place of a college degree;
Prior paralegal experience and/or paralegal certificate preferred;
Proficiency with Microsoft Office applications and AdobePro are required;
An understanding of Carta and other capitalization table management programs;
A working knowledge of Lexis preferred.
This position offers a hybrid work schedule of 2-3 days a week in the office. Flexibility to work overtime and travel to client sites, as needed.
