Become an integral part of the cross-disciplinary group.Primarily serve Life Sciences clients in all facets of their corporate needs.Responsibilities include general corporate services, SEC compliance and reporting, sell and buy-side transactions, financings, corporate governance, licensing/strategic partnerships, and IPOs.Duties:
Provide legal counsel and representation to Life Sciences clients.Draft and negotiate various corporate agreements, including licensing, joint venture, and strategic partnership agreements.Advise clients on SEC compliance and reporting requirements.Assist in the preparation and filing of IPOs.Conduct due diligence for mergers, acquisitions, and other transactions.Handle corporate governance matters for clients.Collaborate with attorneys from other practice areas to provide comprehensive legal solutions.Requirements:
Juris Doctor (JD) degree from an accredited law school.Admission to the California State Bar in good standing.Experience practicing corporate law, focusing on Life Sciences.Proven track record of handling complex corporate transactions.Strong understanding of SEC regulations and compliance requirements.Excellent communication and negotiation skills.Ability to work effectively in a fast-paced, dynamic environment.Prior experience in a law firm setting is preferred.Certifications:
California State Bar admission.Skills:
Legal research and writing.Contract drafting and negotiation.Corporate governance expertise.SEC compliance knowledge.Client management and relationship building.
