Paralegal/Contract Manager - Latin America

Responsibilities:

Reviews and negotiates contracts with Supervision from Legal Director, e.g., equipment sale and rental, service, distribution, confidentiality, lease, and customer agreements; reviews terms & conditions of sales, service, and customers’ purchase orders.Draft, monitor, and manage timely filing of Corporate Resolutions in coordination with outside counsel, Controllers, Regional Managers. Work with local counsel for company subsidiaries and affiliated entities in Latin America when appropriate.Keep and report Officers and Directors Charts for company and its subsidiaries and affiliates.Researches and analyzes individual country statutory, regulatory and local code requirements that affect contract terms and conditions, allowances and requirements, special provisions and terms and conditions to ensure and maximize enforcement of company and business unit policies, and achievement of company goals.Negotiates and assists sales and service offices in negotiating with customers to mitigate risk to the company while achieving acceptable contractual terms consistent with legal requirements, company policies, and procedures, as approved by Legal Director.Drafts and negotiates legal documents with supervision of Legal Director of company.Communicates contract policy and better business practices to internal business teams.Ensures contract enforcement, review, approval and execution in accordance with corporate and/or business unit guidelines.Prepares and works with appropriate business units to prepare approval forms and obtain company and business unit approvals as needed.Review and analyze the terms and conditions of the contracts under the direction of the company's Legal Director, complying with legal regulations as well as the company's policies/processes.Prepare Excel files and tables as required to keep company operations, records, and documentation of various functions of the Legal Department, including as an example, keeping updated records of company contracts, corporate legal information, entities directors, attorneys-in-fact, and office addresses and corporate information, thus ensuring their proper archiving and access.Manage contractual modifications (addenda, change orders, etc.) ensuring proper documentation and approval.Evaluate and manage the impact of modifications on project cost, schedule, and scope.Review clients and suppliers’ business registration documentation, resolutions, bylaws, and other appropriate documentation to screen selection of customers and suppliers in accordance with the customer and supplier onboarding company policies/procedures, the company’s Anti-Corruption Policy and Code of Conduct.Any other tasks assigned.

Requirements:Bachelor’s Degree in paralegal or related field.Minimum of 5 years progressive responsibility in the US and Latin American market in the duties described above with contract negotiation, preferably with customer and supplier-related contracts.Fluent in English and Spanish, both written and spoken. No exceptions made.Ability to draft, review and negotiate simple to moderately complex, routine, and non-routine contract documents.Good working knowledge of the Latin American and U.S. markets and legal framework, contracts, contract concepts, Uniform Commercial Code.Excellent communication and presentation skills.Ability to exercise independent judgment and creativity in resolving contract issues within company guidelines and policies.Ability to work with a wide range of personalities and skill level of business negotiators.Previous experience as a Contract Manager with experience in Caribbean (Spanish, French, Dutch, and British Legal Frameworks), Mexico, Central America, and South America.
