They will provide counsel on a wide range of transactional matters and represent companies on compensation disclosure issues.Duties:Provide legal counsel and strategic advice on executive compensation and employee benefits.Conduct legal research and analysis related to tax implications, securities laws, and other relevant compensation and benefits regulations.Draft and review agreements, plans, and policies about executive compensation, employment, and benefits.Advise clients on compliance with applicable laws and regulations, including ERISA, IRC, and SEC rules.Assist in negotiating and structuring compensation arrangements in corporate transactions and mergers/acquisitions.Represent clients in negotiations, mediation, and other dispute resolution proceedings related to executive compensation and benefits.Requirements:Minimum of 5 years of experience practicing law, focusing on executive compensation and employee benefits.Strong understanding of tax laws, securities regulations, and other relevant legal frameworks.Experience advising corporate clients on compensation disclosure issues.Proven track record of handling transactional matters related to executive compensation and benefits.Excellent communication and negotiation skills.Juris Doctor (JD) degree from an accredited law school.Admission to the California State Bar or eligibility for admission via waiver.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the California State Bar or eligibility for admission via waiver.Skills:Legal research and analysis.Drafting and reviewing legal documents.Client counseling and communication.Negotiation and dispute resolution.Compliance with regulatory requirements.Attention to detail and accuracy.
