The ideal candidate will oversee complex transactional documents, manage due diligence investigations, and represent clients in negotiations and dispute resolution processes.Duties:Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and related matters.Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements.Conduct due diligence investigations and prepare comprehensive reports for clients.Manage and oversee junior associates and paralegals on various transactions.Collaborate with cross-functional teams to ensure seamless execution of deals.Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients.Represent clients in negotiations, mediation, and other dispute resolution processes when necessary.Ensure public securities and stock exchange compliance, including 34 Act and 33 Act (a plus).Requirements:Juris Doctor (J.D.) degree from an accredited law school.5 years of experience with a solid foundation in mergers and acquisitions, securities matters, and lending work.Strong knowledge of corporate law, securities regulations, and corporate governance principles.Excellent drafting and negotiation skills, with a keen attention to detail.Proven ability to manage multiple complex projects simultaneously.Exceptional analytical and problem-solving abilities.Excellent interpersonal and communication skills, both written and verbal.Ability to work independently and collaboratively in a fast-paced and demanding environment.California Bar admission is required.
