A law firm in Chicago, IL is seeking a Mid-level Associate Attorney to represent private equity sponsors and their portfolio companies, as well as financial institutions involved in debt financing transactions. The ideal candidate will have 4-5 years of experience in leverage finance transactions and a background in providing legal guidance to clients on structuring and executing complex financing deals. This position offers the opportunity to work on high-value transactions and support clients in risk mitigation and compliance while staying current on legal trends and industry developments.Duties:Represent private equity sponsors, corporate borrowers, and financial institutions in a variety of debt financing transactions, including leverage finance transactions.Assist clients in structuring, negotiating, and executing complex financing deals.Draft and review a wide range of finance documents, including credit and service agreements, high-yield bond indentures, commitment letters, term sheets, security agreements, guarantee agreements, and inter-creditor and subordination agreements.Provide ongoing legal support to clients post-transaction, ensuring compliance with legal and industry standards.Monitor and stay informed about relevant industry trends, legal developments, and regulatory changes to provide up-to-date counsel.Collaborate with internal teams and global counterparts to deliver comprehensive legal services to clients.Requirements:Juris Doctor (JD) degree from an accredited law school.Admission to the Illinois Bar and in good standing.4-5 years of experience in leverage finance transactions at a large law firm, representing private equity sponsors, corporate borrowers, and/or lenders.Strong experience in drafting and negotiating financing agreements and other related documents.Certifications:Admission to the Illinois Bar (required).Any additional certifications related to finance law or transactional law (preferred but not required).Skills:Strong drafting and negotiation skills with attention to detail in finance documents, including credit agreements and bond indentures.Ability to structure complex financial transactions and advise clients on compliance and risk mitigation strategies.Excellent communication skills for interfacing with clients, opposing counsel, and internal teams.Ability to work effectively in a fast-paced, team-oriented, and global environment.Strong academic background with demonstrated ability to manage sophisticated financial transactions.Proficiency in legal research, problem-solving, and providing strategic advice.
