Represent underwriters, issuers, and placement agents in IPOs, follow-on public offerings, private placements, and other securities offerings.Provide counsel on securities regulations and compliance matters.Draft and review legal documents related to capital market transactions.Conduct due diligence and risk assessment for securities offerings.Collaborate with other attorneys and legal staff on complex transactions.Requirements:
Juris Doctor (J.D.) degree from an accredited law school.Admission to the Illinois State Bar or eligibility for admission via reciprocity.4-6 years of experience in U.S. capital markets, preferably focusing on IPOs, follow-on offerings, and private placements.Experience representing public companies in the ’34 Act work is a plus.Strong analytical and problem-solving skills.Excellent written and verbal communication skills.Ability to manage multiple tasks and deadlines in a fast-paced environment.Strong attention to detail and accuracy.Certifications:
Admission to the Illinois State Bar or eligibility for admission via reciprocity.Skills:
