Headquartered in San Francisco, Pattern has a portfolio of 30 power facilities and transmission assets across North America, serving various customers that provide low-cost clean energy to millions of consumers.Responsibilities:Job PurposeThis position will report to the Senior Manager, Corporate Governance, and will work with other paralegals, attorneys in the Legal Department and all other business units within the Company, to provide entity management and corporate transactional and secretarial services for Patterns 200 plus subsidiaries.Key AccountabilitiesSupport the corporate secretary and governance function for all domestic and foreign (non-US) subsidiaries by drafting resolutions and minutes at the corporate and subsidiary levels for: election of officers and directors, updating of banking requirements, and any other events requiring formal approval pursuant to governing documents and/or laws; preparing documents for mergers, dissolution, change, or formation of entities and qualification and withdrawal of entities in foreign jurisdictions; drafting and maintaining powers of attorney; registering entity branches; making annual filings; and filing amendments to corporate organizational documents, ensuring required governmental filings are completed in a timely manner and that subsidiaries are in compliance with all regulatory requirementsMaintain minute books and records with respect to all subsidiaries and joint venture entities and create and provide legal entity organization charts and periodic reports to various internal departments and businesses, as well as to external parties, as requiredServe as a primary contact within the Corporate Governance Team/Legal Department for detailed corporate information, liaising directly with other departments (Finance, Tax, Treasury, and other resource groups), and external parties (auditors, counsel, government agencies) and provide corporate secretarial and governance support for matters related to bank account authorizations, intercompany dividends, capital contributions, capital reductions, subsidiary reorganizations, guarantees, intercompany transactions, promissory notes, and intercompany loansAssist with the execution of detailed tax step plans to establish, or re-structure legal entities and effect intercompany transactions, draft, review and manage filings for internal restructuring documentation, closings, acquisitions, etc.Support due diligence, provide KYC information and documents (Formation documents, Incumbency Certificates, etc.) in connection with opening and maintenance of bank accounts and all other treasury related transactionsPerform administrative duties such as distributing documents for signature via Adobe Sign, maintaining a record of legal and policy documentation, legal vendor management and review of invoices submitted for annual registration of subsidiariesMaintain accurate entity data in Pattern's SharePoint legal archives website and CT Advantage hCue databaseEnsure compliance with records retention policy and requirements and maintain working knowledge of company policies, state, and federal legislationManage relationships with Patterns corporate registered agent and various external counsel globally, liaising with them as necessary for apostille and legalization process of foreign documents; review and approve invoices from these firms and service providersResearch and respond to inquiries concerning the company and its subsidiaries and affiliates from other sections of the Legal Department
Qualifications:Experience/Qualifications/Education RequiredEducational ExperienceBachelors (preferred) or Associates Degree (required) in related fieldParalegal Certificate from an accredited institution or program - requiredRequired Work ExperienceMinimum of eight (8) years corporate paralegal experience in a public corporation, private company, or law firmMinimum of three (3) years of hands-on entity management experience (must be able to show verifiable proof of having managed a minimum of 100+ subsidiaries - both US and non-US)Current Notary Certification/License (required)Additional RequirementsA stable work historyExceptional verbal and written communication skillsDetail-orientedExceptional interpersonal and organizational skillsAbility to interact with individuals at all levels of the organizationAbility to work alone or as part of a highly integrated teamAbility to multi-task and provide consistent, accurate deliverables in a fast-paced environmentMust possess high ethical and professional standards and be able to maintain confidential and proprietary informationMust be able to work under pressure (time and accuracy) - manage their own time unsupervisedMust be proactive in identifying and responding to client needs and opportunitiesKnowledge and familiarity of the following or similar Software is preferred

The expected starting pay range for this role is $90,000 - $122,000 USD. This range is an estimate and base pay may be above or below the ranges based on several factors including but not limited to location, work experience, certifications, and education. In addition to base pay, Patterns compensation program includes a bonus structure for full-time employees of all levels.
