This is an exciting opportunity for an individual to be a vital and valued member of the team with opportunity of growth and development.Job Summary:The General Counsel will lead contract negotiations and maintain compliance with laws/regulations specific to the retail contracts, food distribution and trading industries. The General Counsel will also oversee and provide guidance on ongoing litigation, serving as the main point of contact for external law firms currently engaged. It will be the GC's responsibility to collect and present all supporting information ascertaining to each case. You will be actively involved in facilitating the company’s business goals, assessing and continuing to develop the company’s processes and priorities, helping the company navigate complex legal issues. Additionally, the General Counsel will advise the President on personal legal matters such as California Real Estate Law (rental and ownership), Estate Planning and other legal matters.Reporting directly to the Company's President, the General Counsel will manage or support general corporate and securities matters, offer primary legal support, and advise on business development and financing transactions. The ideal candidate will quickly familiarize themselves with current legal matters, become an expert in each topic and learn company processes and transactions. This role requires collaboration with the President and Management Team, serving as the sole in-house legal advisor, keeping us one step ahead in all legal matters. This is a great opportunity for someone experienced to build out our legal team as our company continues to strive and grow.Responsibilities:Negotiate and draft contracts and other legal agreements, including customer and vendor contracts, employment agreements, and licensing agreements.Provide legal guidance and support to the company on a wide range of legal and regulatory issues including contract negotiation, and compliance with laws and regulations.Develop and implement legal policies and procedures and provide training to the company's employees on legal and regulatory matters.Manage the company's legal affairs, including risk management and dispute resolution.Manage and drive forward current ongoing litigation.Oversee, advise and escalate collections.Monitor developments in changes to laws and legislation (e.g., Department of Agriculture by State), and provide advice on compliance with applicable laws and regulations.Qualifications:Active and in Good Standing with the CA State Bar.J.D. degree from an accredited law school.5+ years of experience in a law firm or in-house legal department.5+ years preferred in the food and trading industries.Strong Knowledge of creditor’s rights.Strong knowledge of commercial contract negotiation – food industry/commodity trading experience is a plus.Real Estate law experience would be a bonus.Excellent negotiation, drafting, and oral and written communication skills.Strong interpersonal skills and the ability to work collaboratively with cross-functional teams.Must be able to work out of our Irvine, CA HQ.
