Corporate Counsel

to join our dynamic legal team. Corporate Counsel:

Provide expert legal advice on a broad spectrum of corporate issues, from contracts and regulatory compliance to data privacy (including GDPR), employment law, and intellectual property.M&A Transactions:

Support the company’s growth through M&A, due diligence, drafting, and negotiating transaction documents.Contract Negotiations:

Draft, review, and negotiate a variety of commercial agreements, including SaaS contracts, software licenses, data processing agreements, vendor agreements, and partnerships.Legal Risk Management:

Partner with the General Counsel to develop and implement effective policies, procedures, and training to manage and mitigate legal risks.Cross-Department Collaboration:

Work closely with teams across the business to ensure that legal and business goals are aligned and that the company remains compliant with all relevant regulations.Privacy Guidance:

Advise our marketing, sales, and product teams on data privacy issues and ensure compliance with privacy policies, particularly for revenue-generating teams.HR Collaboration:

Support the HR team on employment-related matters such as employee contracts, terminations, employee handbooks, and related legal documentation.Outside Counsel Management:

Assist in managing relationships with outside legal counsel to ensure efficient handling of specific legal matters.Sales & Customer Service Support:

Provide timely, reliable legal guidance to our sales and customer service teams in response to client and prospect inquiries.About You:

Education & Bar Membership:

Juris Doctor (J.D.) from an accredited law school and an active member in good standing of the Texas Bar.Experience:

5-7 years of legal experience, combining both law firm (3+ years) and in-house (2+ years) experience. Experience at an AmLaw 200 firm is highly desirable.Corporate Law Expertise:

Strong background in corporate law, contracts, and compliance, with a demonstrated ability to negotiate and draft complex commercial agreements.Tech Industry Experience:

Prior experience working with technology companies is essential, with a particular focus on SaaS, software licensing, and technology contracts.M&A & Transactional Experience:

Experience with M&A or other corporate transactions is preferred.Data Privacy Knowledge:

Familiarity with US state data privacy laws and GDPR is a plus.Motivated & Solutions-Oriented:

Able to work seamlessly with cross-functional teams, providing clear and actionable legal advice that’s easy to understand for both legal and non-legal professionals.Organizational Skills:

Exceptional time management skills, with the ability to prioritize and manage multiple projects simultaneously.Confidence & Leadership:

Able to confidently interact with stakeholders at all levels of the organization, and comfortable providing counsel to executive leadership and key decision-makers.Location Flexibility:

Must be able to work from our Austin office at least 2 days per week.
