A law firm in Charlotte, NC, is seeking a Corporate Counsel to provide legal guidance on a wide variety of corporate and commercial projects. The role focuses on reviewing, drafting, and negotiating contracts for commercial transactions, including supply, purchase, service, and transportation agreements. The ideal candidate will possess a strong business background, a keen ability to quickly grasp business concepts, and the interpersonal skills to work closely with clients. Extensive client interaction and the delivery of pragmatic, business-focused counsel are key aspects of this role.Duties and Responsibilities:Review, draft, and negotiate key commercial agreements, including supply, purchase, service, and transportation contracts.Provide legal advice on various corporate and commercial projects.Ensure compliance with corporate policies and relevant regulations in contract negotiations.Act as a legal advisor in commercial transactions, including mergers and acquisitions (M&A).Engage in extensive client contact, providing practical and business-oriented legal advice.Collaborate with cross-functional teams to support corporate initiatives and transactions.Assist in corporate governance matters as needed.Conduct legal research to stay updated on corporate law and regulatory trends.Handle risk assessment and mitigation in commercial agreements and transactions.Requirements:Minimum of 7+ years of corporate transactional experience, with a focus on commercial contracts (M&A experience is a plus).Business acumen and the ability to understand and integrate business concepts into legal advice.Experience in drafting and negotiating commercial agreements, including supply chain and service contracts.Strong communication skills, both written and verbal, with the ability to convey legal concepts clearly to non-legal audiences.Ability to handle multiple projects and deadlines in a fast-paced environment.Proactive problem-solving abilities and willingness to ask questions and learn.Strong interpersonal skills, with a client-first approach to legal practice.Education:Juris Doctor (JD) degree from an accredited law school.Certifications:Admission to the North Carolina State Bar preferred (or eligibility for admission).Skills:Expertise in corporate transactional law, including commercial agreements and M&A.Strong attention to detail and contract drafting skills.Ability to balance legal risks with business goals and provide practical legal advice.Collaboration and teamwork skills with a client-focused attitude.Analytical thinking and decision-making abilities.Flexibility and adaptability in managing evolving legal projects.Benefits:Multiple health insurance plans, including a Health Savings Account (HSA) option.Access to dental, vision, and prescription drug coverage.Telehealth services for remote medical consultations.
