Integrity's proprietary, cutting-edge technology helps expand the insurance and financial planning experience for all stakeholders using an omnichannel approach.Position SummaryWe are looking for a Corporate Secretary to serve the Integrity Legal team who will be responsible for managing the Company's subsidiary governance function within Corporate Governance, to ensure that the Company's subsidiaries remain compliant with applicable laws and regulations, as well as to maintain the Company's capitalization table, among other general corporate functions. The successful candidate will have experience in entity management, corporate governance, maintenance of books and records, and supporting complex transactions. The successful candidate must also have the ability to operate independently in a fast-paced environment, prioritize a dynamic workload, possess excellent judgment and exceptional attention to detail. Strong interpersonal skills are required, as this role will collaborate closely with cross-functional teams, including executives. The ability to maintain confidentiality and to operate in the role with the highest of ethical standards and professionalism are required.The Corporate Secretary will report to the Chief Legal Officer and will serve as the primary person responsible for: (i) legal entity management, (ii) initial preparation of corporate governance documents, (iii) legal entity governance to ensure compliance with regulatory and statutory requirements and (iv) management of the company's capital table. The individual will use software and applications including entity management software to assist with their work and will be experienced, organized, and proactive.Primary ResponsibilitiesProper entity management to ensure that Integrity complies with all relevant laws and regulations, including maintaining accurate entity, director, manager and officer records, filing necessary documents with government authorities, and adhering to reporting requirements.Manage and maintain the company's capitalization table database in our SaaS system.Prepare and file articles of corporate governance documents including LLC agreements, articles of organization, consents, minutes, annual reports, entity registrations and renewals, etc.Work collaboratively with important stakeholders at Integrity to ensure that important business objectives are met.Work collaboratively with legal, compliance, licensing, finance and regulatory teams to ensure robust internal processes over corporate governance are met.Must-Have:Bachelor's degree or equivalent in a related field.10+ years relevant experience.5+ years of work experience in general corporate matters in a law firm or in-house public company legal environment, preferably including a demonstrable history of experience with domestic and international entity governance related matters.Experience in developing and maintaining filing and entity docketing systems and proficiency in accurate recordkeeping.Good judgment, integrity, high energy, and demonstrated understanding of general business values and ethics.Strong intellectual curiosity and desire to professionally develop and grow.Service-oriented and good team player; willing to "roll up sleeves", understand the issues and work at solving them independently.Working knowledge of legal entity management systems (e.g., Kube, Diligent, etc.) and charting tools (Visio, Lucidchart).Working knowledge of capitalization table management systems and tools (e.g., GlobalShares).Excellent writing and communication skills and the ability to identify, initiate and tactfully conclude strategic objectives with all levels of management, departments, and representatives in a collaborative, team-based "no ego" environment.Must demonstrate a strong attention to detail with excellent organizational and prioritization skills.Ability to act independently and proactively, with ability to identify situations when attorney oversight is required.Requires experience handling confidential information and correspondence and a familiarity with methods and approaches to maintain confidentiality.Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact.Must have an interest in the insurance and financial services industry and desire to cultivate longer-term career and professional development in this space.Nice-to-Have:Paralegal CertificationProven ability to work under pressure and within tight time frames.Section 16 reporting tools and Workiva.GlobalShares, Kube or CSC entity management experience.Experience in the life and health insurance industry (including in wealth management or asset management).This position is eligible for participation in Integrity's Employee Ownership Plan.
