Position: Corporate Counsel Reports To: President, TransGrid Energy Location: Irvine, CA Employment Type: Full-time, Exempt, Hybrid Industry: Renewable Energy COMPANY OVERVIEW: TransGrid Energy is a newly established renewable energy company that invests, develops, owns, and operates, utility-scale renewable energy projects. POSITION OVERVIEW: We seek a highly skilled and seasoned Corporate Counsel to join our team. The ideal candidate will be responsible for managing and engaging in a wide range of legal matters, with an emphasis on commercial contracts of solar and battery energy storage systems. The Corporate Counsel will provide effective and practical legal advice on complex transactions, manage the legal function of these projects, and be responsible for documentation of these transactions. RESPONSIBILITIES: Provide effective counsel to the management and senior executives of the Company on major business transactions, including the review of relevant legal documents, and management of renewable energy-related projects throughout late development, construction, and operation phases Manage and engage in a wide range of legal matters, including commercial agreements, entity formation and management, HR/employment, real estate, dispute resolution, and daily reactive and proactive legal needs, and give accurate and timely counsel to executives in a variety of legal topics Responsible for all legal aspects of commercial contracting, including drafting, review, and negotiation of contracts Research and evaluate risk factors regarding business decisions, and operations, and provide an action plan Participate in the drafting and development of Company policies, procedures, and programs and provide continuing counsel and guidance on legal matters, and on legal implications of all matters Ensure that the Company conducts its business in compliance with applicable laws and regulations Manage and evaluate the Company’s outside counsel Perform other duties and special projects, as assigned REQUIREMENTS: Law degree from an accredited institution, and admitted to practice law in at least one of the U.S. jurisdictions, such as New York, Texas, or California Experience in general corporate practice required Experience coordinating across various internal groups, e.g., business, legal, and compliance departments At least five years of transactional experience as an attorney in a law firm or in-house legal department Ability to meet tight deadlines, while simultaneously prioritizing multiple projects Exceptional communication and interpersonal skills PREFERRED QUALIFICATIONS: Qualification to practice as in-house counsel in California is strongly preferred Exposure to and/or familiarity with reviewing, drafting, and negotiating renewable energy project contracts (including offtake agreements, EPC contracts, and O&M contracts as well as general corporate matters) is preferred WORK AUTHORIZATION: The ideal candidate for this role will be authorized to work in the US, before joining TransGrid Energy LLC.
