Position Overview: A Prominent Global Asset Manager is seeking a highly skilled and experienced Associate General Counsel to join their legal team. The ideal candidate will have a strong background in transactional work specific to asset management and investment management, with at least 4 years of experience at a leading law firm or in-house legal department. Key Responsibilities: Provide legal support across a wide range of asset management and investment management activities, including private equity, hedge funds, real estate, and other alternative investments. Draft, review, and negotiate investment management agreements, private placement memorandums, partnership agreements, joint ventures, and other transactional documents. Advise on regulatory matters affecting investment management, including compliance with SEC, CFTC, and other global regulatory regimes. Provide legal guidance on fund formation, structuring, and operations, as well as matters related to investment vehicles and investor relations. Collaborate with senior legal and business teams on complex transactions, investments, and strategic initiatives. Stay abreast of changes in relevant laws and regulations, and proactively provide legal advice to mitigate risks and ensure compliance. Support the broader legal team in addressing ongoing legal and operational matters within the firm. Qualifications: 4 years of relevant legal experience with a strong emphasis on asset management, investment management, and transactional law. Experience gained from a top-tier law firm or as in-house counsel at an asset management firm, financial institution, or private equity firm. Deep understanding of the legal and regulatory environment for asset managers, investment funds, and institutional investors. Expertise in drafting and negotiating complex agreements, particularly those related to private funds and investment structures. Strong analytical and problem-solving skills, with the ability to communicate complex legal issues in a clear and concise manner. Excellent interpersonal skills and the ability to work effectively in a team-oriented, fast-paced environment. JD (Juris Doctor) from an accredited law school and membership in good standing with the bar.
