Role Overview: Opportunity to join a growing alternative asset management firm and develop specialized understanding of the industry. The individual will assist the tax and legal groups with corporate governance for legal entity structures across fund strategies. Ideal long-term role for someone who is process oriented seeking to build domain expertise. Role Responsibilities: Prepare and maintain legal entity governance documentation, including agreements for limited partnerships, limited liability companies, resolutions, letters of direction, and similar. Support structuring team in directing entity formation and structure implementation, including collaborating with other functions on KYC and obtaining EINs. Support structuring team with coordinating entity modifications, dissolution, and other relevant entity life cycle events. Support legal entity management system maintenance. Assist with tax and legal teams with staying current as to structure changes across the business. Support maintenance of legal entity structure charts. Lead annual filings for legal entities, coordinating with legal, treasury, and other stakeholders. Assist with legal research related to above tasks. Liaise with external counsel, administrators, and other advisors. Requirements & Qualifications: Bachelor’s degree required. Paralegal experience in a law firm or an established multinational company. Experience with entity formation and drafting of governance agreements preferred. Familiarity with Delaware corporate and partnership law a plus. High level of professionalism, with strong organizational skills and responsiveness. Oriented toward achieving results, details, process, and timeliness. Self-motivated and proactively engaged to take ownership of responsibilities. Ability to prioritize, adapt to changing commercial priorities, and multitask. Strong work ethic and proven track record working collaboratively with a small team. Strong interpersonal skills and written and verbal communication skills. Proficiency with Microsoft Word, Excel, PowerPoint, and Adobe Acrobat. Experience with legal entity databases a plus.
