*Completion of the proposed sale of Vantive to funds managed by the Carlyle Group is subject to receipt of customary regulatory approvals and satisfaction of other closing conditions. This position will oversee all operational and technical transfer pricing matters. This role will report to the Vice President, Tax and will be a key interface with non-tax business leaders throughout the global organization regarding the above matters. This role will also have input into the US IRS audit as it relates to transfer pricing. Extensive interface with the Company’s financial statement auditors and outside tax and legal consultants. What You’ll Be Doing: Serve as the primary corporate tax resource on all technical and operational transfer pricing matters. Oversee all aspects of transfer pricing annual process, including pricing request, transfer pricing true-up adjustment, legal entity forecast, and intercompany cross-charge. Draft intercompany agreements, working closely with other Corporate Tax team members, Legal, and the business teams to ensure transfer pricing matters are 482 and OECD/BEPS compliant. Advise on supply-chain set up, modification and transformation, and issues related to new business development, including ERP set up and upgrade. Oversee the post-acquisition integration of new products/markets acquired through M&A transactions. Manage global transfer pricing compliance by external consultants to ensure compliance with local laws and transfer pricing policies ensuring timely submission of all global reports, including country-by-country reports. Identify, evaluate and monitor the Base Erosion & Anti-abuse Tax (BEAT) consequences of intercompany service charges into the US, including advising the business teams on the BEAT consequences of offshoring activities that benefit the US. Develop a strong technical understanding of Vantive’s IP ownership structure (post-separation and post-implementation) and mechanics of its cost sharing arrangement with Vantive’s affiliates. Analyze Vantive’s principal entity to ensure it has the requisite substance from a substantial contribution and BEPS perspective. Provide input on IRS audit matters that relate to transfer pricing strategies previously implemented. Analyze US, foreign and OECD legislation/initiatives to determine the impact on the Company’s global transfer pricing position. Close interaction with non-tax personnel, including Treasury, Finance, Operations, and Legal. Develop the leadership and technical skills of underlying team members. Travel:

Domestic and international travel may be required, approx. 2-3 times a year. Requirements: 10-15 years of overall experience with a heavy emphasis on transfer pricing and TP operations. Manufacturing / medical device / pharmaceutical industry experience strongly preferred. Strong technical understanding of IRC Section 482 and the OECD BEPS final reports. Ability to recognize potential financial statement implications of transactions undertaken. Proven track record of working with various groups within a corporate structure including Treasury, Finance, Operations, Legal, etc. Strong track record of problem-solving, creative thinking and superior business communication skills. Exceptional business communication skills with ability to effectively relate tax issues to non-tax personnel; strong consensus builder and team player; especially skilled at communicating with upper management on a range of broad business plans. JD and/or MST a plus; accounting undergraduate degree and CPA certification highly desired. We understand compensation is an important factor as you consider the next step in your career. At Baxter, we are committed to equitable pay for all our employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $184,000 - $253,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses, and/or long-term incentives.
