The ideal candidate will have a strong background in public company M&A, private company finance and capital markets transactions, corporate governance counseling, and securities law. Job Duties: Conduct legal research and analysis on complex corporate issues. Draft and review transactional documents including merger agreements, stock purchase agreements, and corporate governance documents. Assist in due diligence investigations and preparation of disclosure schedules. Provide advice and counsel to clients on corporate governance matters. Assist with SEC filings and compliance with the ‘33 and ‘34 Act requirements. Requirements: Juris Doctor (J.D.) degree from an accredited law school. Admission to the State Bar of California and in good standing. 4-6 years of experience practicing corporate law, with a focus on M&A, finance transactions, and securities. Proven track record in handling complex corporate matters independently. Strong understanding of corporate governance principles and SEC regulations. Excellent drafting, analytical, and communication skills. Ability to manage multiple priorities and work effectively under pressure. Prior experience in a reputable law firm preferred. Skills: Proficiency in legal research tools and databases. Exceptional writing skills with attention to detail. Strong interpersonal skills and ability to work collaboratively in a team environment. High level of professionalism and ethical conduct.
