Position Summary:

Responsible for accounting policy development, technical accounting research, and oversight of company-wide SOX internal controls.

Essential Duties and Responsibilities: Monitor FASB and SEC developments to identify and document the potential impact of new pronouncements or other authoritative guidance and manage the implementation of the related accounting and disclosure requirements. Perform or oversee technical accounting research and prepare/review related white-paper documentation. Evaluate the consistency of accounting policies and financial reporting procedures and their applicability across the company including new acquisitions. Review, update and draft accounting policies related to critical/complex accounting estimates Review all M&A acquisition contracts for proper accounting treatment, oversee M&A accounting requirements for business combination accounting and valuation. Analyze accounting and financial reporting requirements and policies for new revenue initiatives or complex transactions. Oversee impairment analyses for long-lived assets, intangible assets, and goodwill. Manage relationship with external and internal auditors including coordination of the year-end audit, quarterly reviews, benefit plan audits and other statutory audits. Serve as management's primary contact for SOX 404 evaluation and coordinate with Internal and External Audit. Responsible for internal controls and process narratives for direct areas of responsibility and consult with other departments as necessary on the proper application of internal controls and requisite documentation. Contribute to and review reports filed with the SEC, including Forms 10-K, 10-Q, and 8-K for earnings releases. Educational and Other Requirements:

CPA required. Minimum 10 years' experience. Public accounting experience or experience with a publicly-traded company required. 5 years of supervisory experience. Strong verbal and written communication skills. Proficiency in Microsoft Office, especially in Excel. Strong, independent worker. Attention to detail and accuracy. Ability to travel occasionally as required. Mental and Physical Requirements:

Able to read, speak and write English. Ability to use sophisticated computer software programs to achieve job functions. Sitting at desk or computer station, standing, walking, speaking, hearing - frequent Bending/Stooping, twisting, lifting - occasional Able to work under stressful conditions at times. Fine motor skills - typing, 10-key, ability to write for extended periods of time Communication - phone communication, communication with personnel and vendors Seeing - able to see the computer screen Climbing - able to go up and down stairs Position will require a minimum of 40 hours per week unless otherwise directed by supervisor.
