Responsibilities
The Paralegal assists in-house attorneys with corporate transactions, such as mergers and acquisitions, real estate transactions, and financing programs, as needed, including integration and transition activity. The Paralegal will be responsible for gathering, preparing, and summarizing relevant materials for use by attorneys and other legal counsel. Paralegal will lead corporate legal initiatives, maintain legal files, facilitate business transactions, and assist with managing and ensuring corporate governance compliance of SCA in general and other duties as assigned.
Key Responsibilities:

Drafting, filing, and managing various business entity documents for corporations, LLCs and partnerships with state agencies

Drafting legal agreements, correspondence, and other documents

Assist attorneys with transaction closings and maintain all corporate records

Coordinate the signature of corporate documentation by directors and officers

Anticipate support needs of attorneys across a variety of corporate legal matters

Communicate effectively with a variety of contacts, including outside attorneys, senior management, and business associates

Conduct legal research as needed

Manage various legal department projects and initiatives

Own and maintain corporate authority structure, including delegations of authority and written consents
Qualifications

Bachelor’s degree preferred

Paralegal certification a plus or equivalent work experience

Working knowledge of Microsoft Office products, particularly Excel and Word
-
Must have strong attention to detail and ability to work independently
