Integral Ad Science (IAS) is a global technology and data company that builds verification, optimization, and analytics solutions for the advertising industry, and we're looking for a Corporate & Securities Paralegal. We are seeking a detail-oriented, thorough, and organized Corporate Paralegal, with Public Company experience, to join our growing team and work closely with the Chief Legal Officer. In this position, you will play a key role in managing general projects, and drafting corporate governance documents, including board meeting minutes, and Section 16 filings and other SEC-filed documents. You will also handle corporate entity registration, supervise billing by outside counsel and other vendors, and coordinate various matters with the Legal, Finance, Tax, HR and IT teams.

Responsibilities:

On any given day, you will be working with IAS attorneys and business colleagues on a variety of requests and projects. You will:
  • Prepare initial drafts of Section 16 filings, and coordinate the preparation of other SEC filings, including proxy statements, 8-Ks, 10-Qs and 10-Ks.
  • Assist with SEC and NASDAQ requirements, as well as all aspects of the corporate secretary function, including board matters and subsidiary maintenance.
  • Assist in the drafting of board and committee minutes, agendas, calendars, written consents and resolutions.
  • Organize, manage, and optimize various Legal Team projects and processes, including document and contract management systems.
  • Coordinate with cross-functional teams, including Finance, Tax, and HR on Legal Department policies and procedures.
  • Identify and implement improvements to current operations and workflows involving the Legal Department.
  • Assist our lawyers based in EMEA and APAC on corporate governance matters (director changes, subsidiary maintenance).
  • Assist HR in the administration of the insider trading policy, including managing trading window logistics, access person list, and organizing/tracking 10b5-1 trading plans.
  • Assist with the coordination and preparation of the annual shareholder meeting.
  • Prepare audit letters for distribution to auditors. Gather litigation summaries and prepare draft Legal Letters and responses to auditors' requests for information.
  • Supervise Legal Department expense processes, vendor invoices, and billing relationships, and assist with Legal Department budgeting.
  • Assist with the tracking of Intellectual Property.
  • Other tasks and projects as needed.

Qualifications:
  • Bachelor's degree in any discipline.
  • Minimum of three years' experience as a Corporate Paralegal for a U.S. public company.
  • Familiarity with federal, state, and local corporate rules/SEC filing procedures.
  • Past experience working in the adtech/martech space is preferred.
  • Past experience working with Workiva, LinkSquares, and Salesforce software is preferred.
  • Excellent organizational skills with strong attention to detail and the ability to prioritize and coordinate work.
  • Excellent verbal and written communication skills.
  • Accepts ownership of projects and is successful in driving projects, as well as daily tasks, to a successful conclusion.
  • Ability to adjust and adapt quickly to changing situations.
  • Ability to work with detailed information accurately and efficiently.
  • Strong interpersonal skills with ability to build strong relationships.
  • Must be able to work well both as part of a team and independently.
  • Being responsive and sensitive to internal and external deadlines.
  • Flexibility for working outside of the regular work hours may be required.

New York Applicants: The salary range for this position is $69,300 - $118,800. Actual pay may vary based on experience or geographic location.
