Primary duties for this Corporate Paralegal role are outlined below.
For SSM Health Care Corporation and its subsidiaries and affiliates in multiple jurisdictions:

Maintains up-to-date comprehensive spreadsheets of all corporate filings and deadlines.

Maintains and updates hCue corporate data base.
-
Tracks filing deadlines for all annual reports, fictitious name registrations, and SAM registration renewals.

Independently prepares and coordinates filing of all annual registration reports, fictitious name registrations and renewals, foreign corporation qualification registrations, and SAM registrations and renewals.

Coordinates with regional legal teams to maintain central repository of corporate governance documents of SSM subsidiaries and affiliates.

Drafts organizational document amendments, minutes, and consents as needed.

Maintains SSM Health’s physical and electronic files of organizational documents, minutes, filings, and other corporate records.

Responds to requests from various SSM departments for assistance with corporate filings and records. o

Utilizes sam.gov website to renew and obtain new SAM registrations.

Handles federal Treasury Department offsets as needed.

Assembles corporate records to support SSM Health System transactions.

Manages legal holds.
-
Works collaboratively with team members in various departments to perform job duties.

Assists System Legal Affairs with administrative tasks on an as-needed basis.

Performs other duties as assigned.
Ideal candidates will be highly organized problem solvers with excellent communication skills. Previous paralegal experience is required, ideally focused on corporate governance. We look forward to reviewing your application materials!
Job Summary:
Responsible for preparing pleadings, discovery requests and responses, witness disclosures, stipulations, and other legal documents. Review incoming correspondence. Work directly with in-house counsel on all legal matters including those assigned to outside counsel. Assist Subrogation Team with various administrative duties.
Job Responsibilities and Requirements:
PRIMARY RESPONSIBILITIES

Prepare pleadings, discovery requests and responses, witness disclosures, stipulations, and other legal documents. Assist with discovery responses.

Establish, maintain and respond to detailed calendar system for self and in-house counsel. Independently follow-up on tasks to be completed on litigated files, including completing updates on itemizations. Work with in-house legal counsel. Coordinate tracking and analysis of all legal matters handled by in house counsel or as assigned to outside counsel.

Work with the Manager of Subrogation to maintain a departmental database. Interact with the court and opposing counsel on a daily basis. Coordinate weekly list distribution to the Subrogation Team.

Performs other duties as assigned.
EDUCATION
- Bachelor's degree or equivalent years of experience and education
EXPERIENCE
- One year experience in a law firm or corporate legal department
PHYSICAL REQUIREMENTS

Frequent lifting/carrying and pushing/pulling objects weighing 0-25 lbs.

Frequent sitting, standing, walking, reaching and repetitive foot/leg and hand/arm movements.

Frequent use of vision and depth perception for distances near (20 inches or less) and far (20 feet or more) and to identify and distinguish colors.

Frequent use of hearing and speech to share information through oral communication. Ability to hear alarms, malfunctioning machinery, etc.

Frequent keyboard use/data entry.

Occasional bending, stooping, kneeling, squatting, twisting and gripping.

Occasional lifting/carrying and pushing/pulling objects weighing 25-50 lbs.

Rare climbing.
