Job Description Job Description We are looking for a Corporate Development Manager to join our team. The role will primarily support mergers and acquisitions activity for Worthington Enterprises. Responsibilities will span from M&A target identification, due diligence, financial modeling for valuation, market research and integration project management. Reporting to the Senior Director of Corporate Development, the Corporate Development Manager will serve an essential role in helping drive the inorganic growth goals of the organization. The person in this position will get the opportunity to gain exposure to various areas of the organization and different levels of management. Responsibilities Sourcing - Responsible for activities associated with identification of potential acquisition targets, development of rationale for addition to our portfolio and creation of materials and analysis for pipeline review meetings. Due Diligence - Lead project teams in the evaluation of active M&A projects, working closely with functional leads to ensure a comprehensive review has been completed. Compile data requests from the team, and coordinate with bankers or the target's management team. Lead weekly meetings to share findings from the teams' review. Develop a business case with Business Unit leadership to pitch the opportunity to senior management. Integration - Facilitates development of integration plans for acquisition targets in partnership with functional and business leads. Serve as project manager for the project, ensuring the overall integration plan remains on-track. Leads team meetings and provides updates to senior leadership on progress, risks and identify where critical decisions are needed. Develop and monitor transition service agreements as necessary. Ad Hoc Responsibilities - administer contrarian review processes for capital expenditures, support ad hoc and quarterly reporting requests, request and participate in market research as needed. Leads or supervises interns and junior analysts. Qualifications, Experience, Skills and Education Requirements: Bachelor's degree in accounting/finance, MBA a plus 5-10 years of relevant work experience in project management, finance, accounting, corporate development, investment banking Effective communication abilities, excellent verbal, written and presentation skills Demonstrated ability to function in a highly matrixed structure across functional, business, geographic and cultural boundaries Strong financial and business acumen; quantitative skills, financial analysis, and valuation skills Organized, deliberate, and reliable in structuring work, and effective problem solver with strong analytic ability Possesses M&A technical knowledge (experience with DCF; LBO, IRR, ROIC, comparable analysis) Strong networking and negotiation skills Exceptional Microsoft Excel, PowerPoint, and Word capabilities Demonstrated ability to be successful in a fast-paced and dynamic, team-oriented environment Ability to influence and implement new ideas/strategies Change management - ability to affect culture change in a matrix managed environment, Demonstrates ability to deal effectively with ambiguity Achieves deadlines in a collaborative team environment with personal accountability and urgency for achieving results High learning aptitude, assimilates to new projects and teams, and works well under pressure with appropriate attention to detail Ability to travel domestically and internationally, 20-30%; sometimes on short notice Why you will love working here: Health, Dental, and Vision insurance that starts on your first day Employer HSA contribution ($1,000/single or $2,000/family) On-site Medical Center, Pharmacy, Barbershop, and fitness center 401(K) Match Employer contribution Tuition assistance for continuing or career-related education As Our Philosophy states: People are our most important asset.
