Job Title: Director SEC Reporting and Technical Accounting

*We are looking to hire someone to work in our Columbus, Ohio office with a hybrid schedule (2 days/week in office)

Principal Duties and Responsibilities:

External Reporting and Consolidation Responsibilities (50%)
  • Oversee the accurate compilations and timely filing of SEC and other external financial reports including 10-Q, 10-K, 8-K, 11-K, registration statements.
  • Review and evaluate the impact of new or revised rules, publications and speeches of the FASB, AICPA, SEC and other agencies to ascertain impact on financial disclosures.
  • Direct the review of financial reports of other utilities and SEC registrants and recommend and implement enhancements to NiSource's external financial reports and disclosures.
  • Identify and understand emerging business issues affecting the company and energy industry to assess applicability to NiSource.
  • Supervise and develop staff members.
  • Interface with external auditors to ensure timely completion of financial statement audits, reviews or other agreed-upon procedures.
  • Partner with Investor Relations and Corporate Communications for preparation and distribution of quarterly earnings release information and analysis.
  • Provide quarterly earnings variance analysis for NiSource CFO.
  • Oversee the proper consolidation of NiSource operating company financial statement submissions, including:
  • Proper elimination of intercompany accounts.
  • Proper reclassification or netting of balances to comply with regulatory requirements.
  • Monitoring the need for operating company resubmissions.
  • Review monthly consolidation of cash flow statement.
  • Administration and reporting of non-GAAP adjustments.
Technical Accounting Responsibilities (30%)
  • Oversee the research for complex business transactions and provide the appropriate accounting guidance to the business.
  • Review and evaluate the impact of new or revised rules of the FASB, AICPA, SEC and other agencies.
  • Coordinate and monitor the integration of newly promulgated accounting standards into accounting policies and processes.
  • Oversee the preparation of response letters to FASB and SEC exposure drafts that impact NiSource or the public utility industry.
  • Direct the development and maintenance of corporate accounting policies and procedures.
  • Review conclusions reached in technical accounting memos that address complex accounting issues, non-recurring transactions, new accounting guidance, etc.
  • Design workflows to assist in the compliance with GAAP and SEC disclosure requirements.
  • Keep current with emerging accounting and reporting guidance and trends including FASB standards and interpretations, and SEC releases and speeches. Review summaries that include the potential impacts to the Company Present findings to affected business partners.
  • Direct the review of financial reports of other utilities and SEC registrants and recommend and implement enhancements to NiSource's SEC reports and disclosures.
  • Identify and understand emerging business issues affecting the company and energy industry and provide accounting recommendations to address the issues.
  • Consult in the economic analysis of business opportunities and proposals.
  • Oversee the preparation of certain disclosures and analysis (footnotes, MD&A, etc.) for the SEC filings.
  • Manage the development of quarterly accounting issues summary.
  • Interface with external auditors to ensure timely completion of financial statement audits and reviews.
SOX Compliance Responsibilities (20%)
  • Supervise the development of the annual SOX risk assessment.
  • Manage the SOX compliance process to assess operating effectiveness of current controls.
  • Consult with business through the remediation effort of identified control deficiencies; review documentation of conclusions through written memoranda.
  • Oversee the assessment of SOX controls to ensure current design will mitigate associated risks.
  • Partner with business through implementation of strategic initiatives to identify and assess new business risks, including assessing the need for new or modified SOX controls.
  • Present materials for regular presentations to NiSource finance leadership and NiSource executive management.
  • Evidence the adequacy of NiSource control structure for management's quarterly and annual SEC certifications.
  • Interface with external auditors to communicate findings and ensure alignment on conclusions.
  • Oversee the annual fraud risk assessment and entity level control process through interviews with NiSource management.
Required Qualifications for Position
  • Bachelor's degree in Accounting and/or Finance.
  • At least 10 years of recent and relevant work experience (e.g. accounting, finance, auditing, compliance), including experience at a publicly traded company.
  • Previous management experience.
  • Active CPA designation.
  • High ethical and moral character.
  • Strong technical accounting skills and current understanding of GAAP, SEC reporting and Sarbanes-Oxley requirements.
  • Effective communication of key messages to all audiences, regardless of medium.
  • Ability to respectfully support conclusions in the face of disagreement or challenge.
  • Experience researching technical accounting issues, building consensus with key stakeholders and documenting/communicating conclusions.
  • Demonstrated ability to manage business partner relationships through use of informal authority.
  • Innate curiosity and desire for continuous learning.
  • History of challenging the status-quo and execution of process improvements.
  • Demonstrated ability to independently coordinate projects and manage multiple priorities.
  • Proven background of developing teammates and effectively delegating work.
Preferred Additional Qualifications for Position
  • Previous work experience in public accounting, Big 4
  • Understanding of the regulated utility industry.
  • Experience with the following software applications: Oracle financial (PeopleSoft, Hyperion), Powerplant, GTreasury, Concur, Ariba, MS Office, Workiva.

Salary Range:
$150,900.00 - $226,300.00
