This position is dedicated to providing legal support across all product lines to support the Company’s mission to be the premier captive finance company in the United States. We are looking to hire a Legal Counsel who has commercial lending experience and is forward thinking with respect to the transformation of our changing industry. The Legal Counsel also provides assistance in strategic decisions, compliance related matters, product and service development and training. The position reports to the Vice President Legal and Compliance, North America and will be located in Greensboro, NC, USA.
Core Responsibilities:
Works with sales, operations, and credit functions in developing and implementing necessary legal policies and documentation for commercial truck, tractor, trailer, construction equipment, bus and other specialized transportation and commercial equipment financing products in the United States.
Provides legal support for the restructuring of troubled transactions and for bankruptcy or other litigation matters, including work with account resolution, repossessions and remarketing teams.
Performs general corporate work, including corporate contracts, interpreting and providing guidance on agreements and obligations and advise business colleagues on applicable policies, legal risks and best practices.
Depending on background and interests, manages more specialized projects/areas, such as insurance initiatives, revolving credit product support, regulatory implementations, capital markets transactions and related matters.
General support of compliance function, including anti-corruption, competition law, data privacy and export control/sanctions frameworks, as well as financial and insurance industry regulations and requirements.
Participates in special projects relating to business transformation and regulatory developments, with attorneys in Volvo Financial Services and Volvo Group sister companies.
Executes other duties and responsibilities as determined by business needs.

Who are you?
Do you dream big? We do too, and we are excited to grow together. In this role, you will bring: Required Education and Experience: JD (Doctor of Jurisprudence) from an ABA accredited school. Currently licensed to actively practice law and in good standing with at least one state. Minimum of five (5) years of experience in commercial finance, equipment leasing, and commercial transactions, preferably in a large firm practice, bank, captive and/or other in-house setting. Prefer knowledge and expertise in UCC Article 2A and Article 9 transactions. Experience negotiating and documenting large and middle market transactions and restructurings. Legal expertise in one or more of the following categories preferred: insurance, usage-based leasing, capital markets transactions, revolving credit products. Ability to provide alternative legal strategies and structures. Experience supervising and directing external attorneys representing an organization. Required Competencies and Skills: Ability to work effectively with other business leaders and their organizations with specific emphasis on the product companies supported by Volvo Financial Services. Ability to work independently, exercise sound business judgment and prioritize multiple transactions effectively. Exceptional computer skills and experience with MS Office and legal matter management platforms. Excellent written and verbal communication skills supported by effective interpersonal skills and a high level of integrity. Flexibility and adaptability with proactive, service-oriented approach. Fluency in reading, writing and speaking English; additional languages a plus. What’s in it for you?
