Job Overview
We are looking for a Banking and Finance Attorney who is licensed to practice law in New York and has extensive experience in the field. The ideal candidate will have 10 or more years of experience representing both borrowers and lenders in sophisticated middle-market commercial lending transactions. This position offers the opportunity to work on a diverse array of financing transactions, including secured and unsecured lending, commercial mortgage transactions, acquisition financings, asset-based financings, and cross-border financings. You will be part of a well-established practice with a long history of serving a diverse client base in the financial services industry.
Key Responsibilities
Represent borrowers and lenders in complex middle-market commercial lending transactions. Negotiate, structure, and document secured and unsecured financing agreements. Handle various types of financing, including commercial mortgage transactions, asset-based financing, acquisition financings, senior, mezzanine, and subordinated debt transactions, and cross-border financing. Draft, review, and provide legal opinions, including opinion letters. Collaborate with internal teams and clients to ensure compliance with legal and regulatory requirements. Advise clients on legal issues related to financial transactions, and provide solutions for complex financing arrangements. Stay updated on industry trends and legal developments affecting commercial lending and banking law. Skills and Qualifications
Juris Doctor (JD) from an accredited law school. Admission to the New York State Bar. At least 10 years of experience in banking and finance law. Expertise in representing borrowers and lenders in middle-market commercial lending transactions. Strong experience with secured and unsecured financing, asset-based lending, acquisition financing, and cross-border transactions. Excellent negotiation, drafting, and communication skills. Ability to work collaboratively in a team environment and handle multiple projects simultaneously. Experience with commercial mortgage transactions, mezzanine and subordinated debt, and opinion letters. Familiarity with U.S.-based and foreign financial institutions, including large multistate banks and small community banks. Benefits
