Who we're looking for: Zendesk Legal is looking for an experienced Senior Counsel to join its growing world-class legal team to facilitate growth and mitigate risk at Zendesk through support of the corporate function. You will have the opportunity to make a lasting impact on an active strategic transactions program at a high-growth, private equity-backed company. This role reports to the Director, Corporate and Securities, who leads governance, securities, and strategic transactions for the company. The position is remote eligible. What you'll be doing: Lead the M&A function for the legal team. Foster growth and expansion through acquisitions by developing strategy and structuring for critical strategic transactions and negotiating alongside Corporate Development on behalf of the business. Manage risk for the business by negotiating principal deal related documents. Realize efficiencies through leading outside counsel and cross-functional diligence teams. Advise business leaders on legal and strategic risks and propose business-oriented solutions. Work with integrations counsel, the Integrations Management Office, and cross-functional teams to develop realistic and healthy integration plans, and support other post-closing matters. Assist the Corporate Legal team on various other corporate matters, including entity management, investor relations, corporate governance, and securities regulations. Own other special projects/processes as necessary and/or desired. What you bring to the role: 7+ years combined corporate and M&A experience at a law firm and in-house corporate legal department. Juris Doctor degree from an accredited law school. US state bar active member in good standing. Expertise in the M&A process from beginning to post-closing issues. Comprehensive understanding of the key strategic risks and opportunities of tech M&A. Mastery of key negotiation points and market positions for the tech industry. Basic Qualifications: Proactive and self-starter on high impact projects. Strong curiosity for all aspects of a technology company. Resourcefulness in seeking out and finding accurate and relevant information. Organized and detail-oriented while juggling competing priorities. Excellence in forming well-reasoned judgements in complex situations with limited information. Solution-oriented mentality and the ability to make risk-based judgements. Strong business acumen and ability to distill legal advice into actionable guidance for business partners. Team player with an understanding of how all cross-functional teams contribute to the success of a transaction. Effective communication with individuals at all organizational levels, including executives and senior management. Ability to uphold the highest standards of discretion and confidentiality. The US annualized base salary range for this position is $180,000.00-$270,000.00. This position may also be eligible for bonus, benefits, or related incentives.
