Duties: Manage and oversee public and private equity offerings, including initial public offerings (IPOs) and follow-on offerings. Draft and review proxy statements, S-4 registration statements, and other SEC filings related to business combination transactions. Advise on ongoing reporting requirements under the Securities Exchange Act of 1934, including 10-Ks, 10-Qs, and 8-Ks. Provide day-to-day counsel to public companies on corporate governance matters. Conduct legal research and analysis related to securities laws and regulations. Interface with regulatory authorities such as the SEC and other relevant bodies. Negotiate and draft legal documents, contracts, and agreements related to capital markets transactions. Requirements: Juris Doctor (JD) degree from an accredited law school. Admission to one or more State Bars (preferably Virginia or eligible for reciprocity). 4+ years of experience in capital markets law, focusing on public and private equity offerings. Experience representing both issuers and underwriters is preferred. Familiarity with SPACs, REITs, and debt offerings is beneficial. Strong understanding of SEC compliance and reporting requirements. Excellent drafting, negotiation, and communication skills. Ability to manage client relationships and work effectively in a team environment. Education and Certifications: Juris Doctor (JD) degree from an accredited law school. Admission to one or more State Bars. Skills: Proficiency in SEC regulations and corporate governance practices.
