We are seeking an Accounting Manager - SEC Reporting & Equity Plan Administration to play a vital role in our financial reporting processes. This position focuses on SEC filings and stock-based compensation accounting, requiring expertise in SEC reporting standards, US GAAP, and equity compensation practices. The ideal candidate will have at least 5 years of accounting experience, with a focus on SEC reporting and stock-based compensation, and will be responsible for the preparation of SEC filings, ensuring compliance with relevant accounting standards and managing the company's equity compensation processes.


Key Responsibilities:


SEC Reporting

Play a leading role in ensuring the company's financial transparency and compliance with regulatory requirements by managing the preparation and submission of SEC filings.

  • Prepare and file periodic SEC reports, including 10-K, 10-Q, and 8-K, ensuring full compliance with SEC regulations and US GAAP.
  • Draft and review financial statements, footnotes, and disclosures for public filings.
  • Monitor regulatory updates to maintain compliance with evolving SEC reporting standards.
  • Coordinate with external auditors for quarterly reviews and the annual audit process.
  • Support the preparation of timely, accurate quarterly and annual reports.

Stock-Based Compensation Accounting

Oversee the comprehensive management of the company's stock-based compensation programs, ensuring accuracy and compliance with accounting standards.

  • Manage all accounting aspects for stock-based compensation plans (e.g., stock options, RSUs, and other equity awards).
  • Ensure compliance with ASC 718 and other relevant accounting standards.
  • Prepare and review stock-based compensation expense calculations, including fair value assessments, vesting schedules, and tax implications.
  • Collaborate with HR, Legal, and Treasury teams to oversee equity grants, exercises, and recordkeeping.
  • Accurately report equity-based compensation expenses in financial statements.

Financial Close Process

Take ownership of the month-end and quarter-end close processes to deliver accurate and timely financial reporting.

  • Lead the month-end and quarter-end close processes for SEC reporting and equity accounting.
  • Ensure timely and accurate recording of all equity-related transactions.
  • Review and reconcile balance sheet and income statement accounts for completeness and accuracy.

Audit & Compliance

Support the company's adherence to regulatory and internal control standards by ensuring audit readiness and compliance with key requirements.

  • Prepare documentation and respond to auditor inquiries for internal and external audits.
  • Maintain SOX compliance and internal controls related to SEC reporting and equity compensation.
  • Provide comprehensive documentation and support for SEC filings and stock-based transactions.

Process Improvement

Identify and implement innovative solutions to enhance efficiency, accuracy, and transparency in financial reporting and equity management.

  • Identify and implement opportunities to streamline and improve SEC reporting and equity compensation processes.
  • Develop best practices to enhance reporting efficiency and accuracy.
  • Collaborate across departments to optimize workflows for equity grants, exercises, and accounting treatments.

Additional Responsibilities

Contribute to organizational success by leveraging your expertise for ad-hoc projects and staying ahead of industry trends.

  • Conduct ad-hoc financial analysis and reporting related to equity compensation and SEC requirements.
  • Stay informed about updates in accounting standards and regulations related to equity and SEC reporting.

Qualifications:

Education

  • Bachelor's degree in Accounting, Finance, or a related field (CPA preferred).

Experience

  • Minimum 5 years of accounting experience, including:
    • At least 2 years of experience in SEC reporting with direct involvement in preparing 10-K, 10-Q, and 8-K filings.
    • At least 2 years of experience managing equity plan administration and stock-based compensation accounting under ASC 718.

Skills & Competencies

  • In-depth knowledge of SEC reporting regulations, US GAAP, and stock-based compensation accounting.
  • Hands-on experience with equity compensation plans, including stock options and RSUs.
  • Proficiency in financial reporting tools (e.g., NetSuite, Workday) and advanced Excel skills.
  • Strong analytical and problem-solving abilities with attention to detail.
  • Exceptional organizational and communication skills for cross-functional collaboration.
  • Ability to manage multiple priorities in a dynamic, fast-paced environment.

Salary Notice:

At Cartesian Therapeutics, we are committed to transparency and equity in our compensation practices. The salary range for this position is $120,000 to $140,000 per year. Please note that the final salary will be determined based on several factors, including but not limited to years of experience, industry experience, education, and specific skills relevant to the role.
