About the role:

We are seeking an experienced General Counsel to lead our legal strategy and operations. This role is crucial for ensuring compliance with legal regulations, supporting business development, and navigating the complex legal landscape of decentralized technologies and the payments industry across multiple jurisdictions. The ideal candidate will have extensive experience in commercial law, specifically within the intersection of payments industry and DeFi.

Key Responsibilities

  1. Legal Advisory and Compliance:
    1. Provide expert legal advice on decentralized technologies, smart contracts, blockchain, and payments industry regulations.
    2. Ensure compliance with all relevant legal and regulatory requirements, including data privacy and protection.
    3. Stay updated on relevant legislation and case law, providing timely and accurate legal advice.
    4. Conduct research on various topics, including issues in the Web3 space.
  2. Commercial Contracts:
    1. Draft, review, and negotiate a wide range of commercial contracts, including service agreements, licensing agreements and event sponsorship agreements.
    2. Review, draft, negotiate, and finalize commercial agreements to support business clients, including MNDAs, platform evaluations, customer agreements, consulting agreements, and vendor agreements.
  3. Corporate Governance:
    1. Manage corporate governance matters, including company filings, board meetings, and other administrative tasks.
    2. Assist in resolving disputes related to contracts, partnerships, or employment, using alternative dispute resolution methods where appropriate.
  4. Employment Law:
    1. Provide advice on employment law matters, including employee contracts, policies, and procedures, ensuring compliance with relevant regulations.
  5. Cross-functional Collaboration:
    1. Collaborate with the software development team to identify legal risks and provide proactive solutions on regulatory compliance and the protection of IP.
    2. Support the Go To Market (GTM) team with ad hoc sales-related legal requests promptly and timely.
    3. Collaborate with the IT/Security, Finance, and People Teams to ensure compliance with contracts across all of Ether.Fi’s markets across various geographies.
  6. Operations and Legal Processes:
    1. Assist and own legal operations projects, including creating streamlined processes and improving efficiencies to cut down on administrative tasks.
    2. Manage operational projects between GTM and Legal to ensure proper data capture and process flow, identifying and improving processes to minimize friction in closing deals.
  7. External Liaison:
    1. Liaise with external legal counsel as needed and within a defined budget, particularly on complex matters.

Qualifications

  1. Fluent English speaker with excellent communication and negotiation skills.
  2. Proven ability to explain complex legal matters to non-legal stakeholders.
  3. Strong understanding of the legal aspects of decentralized technologies, smart contracts, blockchain, and the payments industry.
  4. Creative, problem-solving mindset with a track record of getting things done.
  5. Experience engaging in the Ethereum (or similar) community is a plus.
