A law firm seeks an experienced and proactive Corporate Counsel to provide strategic legal guidance on a fully remote, flexible basis. This role will involve a wide range of responsibilities, from advising executives and stakeholders on risk management to drafting, reviewing, and negotiating commercial contracts on a global scale. The ideal candidate will demonstrate a balance of legal expertise and business acumen, working collaboratively with sales teams and executive leadership.
Duties
- Offer strategic legal and business insights to build strong, trusted relationships with senior executives, stakeholders, and key partners.
- Identify and analyze operational legal issues across diverse areas and coordinate effectively with legal experts and stakeholders.
- Draft, review, and negotiate a broad array of U.S. and international commercial contracts, including:
- Sales agreements, SaaS agreements, licensing deals, consulting and vendor contracts, marketing and reseller agreements, and terms of service for B2B and B2C transactions.
- Create and maintain template agreements, negotiation playbooks, and protocols to streamline contract processes in collaboration with stakeholders.
- Support the development and implementation of best practices in commercial contract management, ensuring efficient review, negotiation, and approval workflows.
- Provide strategic advice on intellectual property licensing, protection, and enforcement within global commercial agreements.
- Navigate privacy and data protection regulations in the U.S. and internationally, including drafting and negotiating data processing agreements.
- Collaborate with global data privacy counsel to implement risk mitigation strategies, employee training, and data management practices.
- Manage multiple projects independently in high-pressure, time-sensitive situations, making sound judgment calls to facilitate client implementation and change management.
Requirements
- Minimum of 15 years of legal experience, with at least:
- 5 years at an AmLaw200 firm.
- 5 years in-house at a technology or intellectual property-focused organization.
- Demonstrated experience collaborating with sales teams in fast-paced, deadline-driven environments.
- Strong business insight and ability to work closely with senior executives to support decision-making and growth.
- Proven ability to communicate complex legal concepts clearly to non-legal professionals.
Education
- Juris Doctor (J.D.) from a top-tier law school.
Certifications
- Licensed to practice law in at least one U.S. jurisdiction.
