Summary:
Reporting to the Chief Legal Officer (CLO) or to a Senior Associate General Counsel (SAGC) designated by the CLO, the AGC is responsible for representing Nuvance Health and its affiliates and providing legal advice and counsel to internal clients regarding all aspects of hospital operations. The AGC will also have responsibilities related to contract negotiation and interpretation and review of applicable policies. The position will perform legal analysis and provide timely, effective and practical guidance in a fast-paced in-house setting under the direction of the CLO or SAGC, as applicable.
Responsibilities:
- Provides legal strategy and direction for health care issues for Nuvance Health and its affiliated hospitals, including day-to-day advice and counsel to hospital Presidents, hospital Vice Presidents of Medical Affairs (VPMAs), hospital Vice Presidents of Operations, Nuvance Health senior leadership, and management.
- Holds primary responsibility for drafting and negotiating hospital-related contracts, focusing on hospital services agreements and clinical services agreements.
- Provides legal support to other Nuvance Health functional areas as assigned, including providing advice and counsel and handling drafting and negotiating of contracts. Other assigned areas may include one or more of the following: Academic Service Line (GME, UME, academic affiliations, Global Health); ambulatory services (ASCs, radiology, clinical laboratory); Home Health; Emergency Medical Services; IT; Medical Practices; and Procurement. May serve as primary support or as secondary support working with another attorney in the Legal Department.
- Maintains current knowledge of federal and state health care law, with a particular emphasis on fraud and abuse (Stark Law, Anti-Kickback Statute, and Civil Monetary Penalty compliance; False Claims Act) and Medicare Conditions of Participation, as well as other applicable federal and state laws and standards, including EMTALA, tax-exemption rules, state licensing requirements, and Joint Commission accreditation standards. Provide guidance and counsel to Nuvance Health leaders to address day-to-day issues and mitigate risk in these areas.
- Works with other members of the Legal team and/or outside counsel on transactional matters, which may include joint ventures, recruitment loans, physician practice acquisitions, and real estate matters.
- Advises and educates clients about hospital operations matters and the impact of recent regulatory and legislative changes and guidance.
- Participates in committees and oversees the development of Nuvance Health policies and procedures that raise compliance, patient safety, tax exemption and health law issues.
- Supports the Compliance Department and the Risk Management Department and provides legal advice related to Compliance and Risk Management issues.
- Advises multi-disciplinary teams on matters of significance with system-wide impact.
- Presents to both inside and outside Nuvance Health and conducts teaching sessions for medical and professional staffs and other employees regarding relevant legal issues.
- When outside counsel has been engaged by the CLO, works directly with outside counsel on issues requiring specialized legal consultation and serves as liaison with outside counsel on referred legal matters.
- Supervises paralegal and/or administrative staff as assigned.
- Performs other duties as assigned consistent with a lawyer with more than 7 years of experience in health care law.
- Models the Legal team's values of integrity, respect and teamwork.
- Works collaboratively with other members of the Legal team to achieve agreed upon annual Legal team scorecard metrics, as well as the metrics set forth in the annual Nuvance Health system scorecard and in the scorecards cascaded to the Nuvance Health hospitals, Institutes & Service Lines, and Medical Practices.
- Models and maintains Nuvance Health values.
- Fulfills all compliance responsibilities related to the position.
Education and Experience Requirements:
- Minimum seven (7) years of experience
- Juris Doctorate
License, Registration, or Certification Requirements: Admission to either the Connecticut or New York Bar (both preferred), or a willingness to become admitted.
