In the role of Legal Associate - Capital Markets, you will be reporting to and supporting the Associate General Counsel - Capital Markets on complex structured finance transactions and investment advisory matters. You will have the opportunity to work with internal businesses and will be expected to provide actionable advice and guidance. You exhibit strong judgement, market knowledge, and decision-making skills which support your successful management of projects and transactions and oversee outside counsel, as necessary.Responsibilities:Work closely with the capital markets, direct lending ,broker-dealer and the investment banking teams representing Cross River in various market participant roles, i.e., sponsor, asset contributor and issuer, loan investor, loan seller, underwriter, placement agent, asset-backed lender, loan servicer, and loan originatorAssist in the development of capital markets legal standard operating policies, procedures and programsAssist in the drafting, negotiating and reviewing of key transaction agreements with respect to credit facilities, purchases and sales of financial assets, securitizations, non-disclosure agreements, engagement letters and other legal documents related to financing transactions spanning various asset classesIdentifying and relaying issues to deal team/internal stakeholders for discussion and resolutionAssist with the legal deal process from pre-closing through post-closing activitiesStay informed of changes to relevant law and regulations and advising legal team and capital markets team about any impact to the businessProvide clear and concise guidance to business units, particularly on novel and complex legal issuesProactively collaborate with stakeholders across the enterprise, including compliance, technology, risk, operations, and other key partnersSupport new capital markets product development and implementationSupport Cross River broker-dealer with preparation and negotiation of engagement letters and resulting debt and/or equity transactionsSupport other projects for the legal department as necessarySkills and Qualifications:Technical Skills:Hold a Juris Doctorate (J.D.) degree from a recognized U.S. universityLicensed to practice law in a U.S. state (NY/NJ preferred)3-5 years of legal experience, either with a recognized U.S. law firm or in-house with a financial institution, fintech company or technology companyStrong working knowledge of complex corporate transactions, capital markets activity, marketplace lending platforms and general corporate lawExperience in structured finance (Asset Backed Securities preferred), warehouse lending, securitizations, and loan and participation salesExperience at a firm or in house managing transactions on behalf of issuers and underwritersExperience with broker dealers, investment advisory, or related financial services practice is a plusPossesses the ability to anticipate legal issues/risk and guide accordingly, including seek creative, innovative solutions for complex business mattersPersonal Skills:Can work independently, yet embraces teamwork and contributes to a supportive inclusive work environmentA strong leader who has the ability to both work within, as well as coordinate the work of external counselExcellent work ethic and the ability to persevere through time sensitive transaction cycles and meet deadlines while multi-tasking and prioritizing matters in a fast-paced team environmentHigh degree of professional ethics and integrity and exceptional attention to detailExcellent judgement, analytical skills and decision making with a willingness to think “outside the box”Possesses outstanding oral and written communication and research skills (with ability to communicate effectively with senior management)Has a sincere interest in career development in fintech capital market transactions#LI-JJ1 #LI-Hybrid #LI-OnsiteSalary Range: $220,000.00 - $250,000.00Cross River is an Equal Opportunity Employer.
