This role involves handling a variety of corporate mergers and acquisitions (M&A) matters and working closely with clients on complex transactions. Duties: Draft a wide range of M&A-related agreements, including purchase and sale agreements, merger agreements, joint venture agreements, shareholder agreements, and ancillary documents. Communicate and correspond effectively with colleagues, clients, and other legal counsel. Analyze legal issues related to corporate M&A and conduct related research when necessary. Utilize corporate M&A reference materials and electronic resource tools. Prioritize and organize workload to meet deadlines. Maintain effective working relationships and communicate proficiently in English, both verbally and in writing. Requirements: Significant experience in corporate mergers and acquisitions. Ability to manage complex transactions and work collaboratively with legal teams and clients. Strong communication skills, both written and oral. Detail-oriented and capable of prioritizing tasks in a fast-paced environment. Education: Juris Doctor (J.D.) degree from an accredited law school. Admitted to practice law in the State of New York. Certifications: Licensed to practice law in New York. Skills: Expertise in drafting and negotiating complex M&A agreements. Strong analytical and problem-solving abilities. Familiarity with corporate M&A reference materials and electronic resources. Ability to build and maintain professional relationships with clients and colleagues. Excellent organizational skills and the ability to prioritize tasks efficiently.
