A leading law firm is seeking a mid-level associate to join its Corporate/M&A practice. The ideal candidate will be a self-starter with excellent client management skills and a strong background in mergers and acquisitions. This is an opportunity to work on both private and public company buy- and sell-side transactions, document drafting, due diligence, and other aspects of M&A deals. The firm offers a collaborative environment with opportunities to take on significant responsibility and contribute to complex transactions. Duties
Work on all aspects of M&A transactions, including private and public company buy- and sell-side deals. Draft and negotiate M&A transaction documents such as purchase agreements, disclosure schedules, and ancillary agreements. Conduct and manage due diligence processes. Assist in structuring and executing transactions from inception to closing. Provide strategic advice to clients on M&A matters and help guide them through the negotiation and execution phases. Collaborate with senior attorneys and cross-functional teams to deliver exceptional client service. Requirements
2 to 6 years of experience in M&A, including substantial exposure to deal documentation and due diligence. Strong client management and communication skills. Demonstrated ability to work on complex transactions and deliver high-quality work product. Experience in both public and private company transactions. Ability to work independently and manage multiple projects simultaneously. A strong team player with a collaborative approach to client service. Education
Juris Doctor (JD) degree from an accredited law school. Certifications
Active membership in a state bar (preferably Florida). Skills
Strong drafting and negotiation skills. Excellent analytical and problem-solving abilities. In-depth understanding of M&A processes, including due diligence, document drafting, and transaction structuring. Ability to manage multiple priorities and work efficiently under tight deadlines. Excellent communication skills, both written and oral.
