Duties and Responsibilities:
- Advise clients on legal and regulatory issues related to investment funds, including private equity funds, hedge funds, and venture capital funds.
- Represent private equity sponsors and agents in various transactions, including fund formation, capital raising, and investment structuring.
- Draft and negotiate complex fund formation documents, such as limited partnership agreements, subscription agreements, and offering memoranda.
- Conduct thorough legal research and prepare detailed reports, memoranda, and correspondence.
- Assist in structuring and negotiating investment transactions, including joint ventures, mergers and acquisitions, and strategic investments.
- Provide guidance on compliance with securities laws and regulations affecting investment funds and private equity transactions.
- Collaborate with other attorneys and legal professionals to develop and implement effective legal strategies for clients.
- Stay informed about developments in investment fund law, private equity trends, and regulatory changes to provide relevant and informed legal advice.
Requirements:
- 4-6 years of experience in investment funds and investment management.
- Substantive experience representing private equity sponsors and/or agents in a broad range of transactions.
- Proven ability to handle complex legal issues related to investment funds and private equity.
- Creative and solutions-oriented with strong analytical and problem-solving skills.
- Excellent writing and communication abilities.
Education:
- Juris Doctor (JD) from an accredited law school.
Certifications:
- Licensed and in good standing to practice law in the state of California.
