A law firm seeks a Fund Formation Associate to support its growing practice. The role involves representing private fund sponsors and institutional investors in various fund formation transactions, including private equity, venture capital, real estate, growth equity, and hedge funds. The ideal candidate will have experience in drafting and negotiating partnership agreements, PPMs, and related documentation on behalf of private fund managers, as well as negotiating investment agreements for institutional investors. A strong understanding of the regulatory and compliance issues associated with these transactions is key. Duties Advise clients in fund formation, including private equity, venture capital, and real estate funds. Draft and negotiate partnership agreements, private placement memoranda (PPMs), and related legal documents for private fund sponsors. Assist institutional investors in reviewing and negotiating investment agreements. Provide counsel on regulatory and compliance matters related to fund formation and investment transactions. Collaborate with senior attorneys and clients to develop legal strategies. Manage multiple fund formation transactions simultaneously, ensuring timely and efficient completion. Communicate effectively with clients, team members, and other stakeholders. Requirements 3-6 years of experience in fund formation, particularly in private equity, venture capital, and real estate. Experience drafting and negotiating partnership agreements, PPMs, and investment documents. Familiarity with regulatory and compliance matters affecting fund formation transactions. Strong written and verbal communication skills. Ability to work effectively in a team-oriented environment and manage client relationships. Education J.D. from an accredited law school. Certifications Must be licensed to practice law in the relevant jurisdiction. Skills Expertise in fund formation transactions and legal documentation. Strong research and analytical skills. Excellent attention to detail and organizational abilities. Ability to manage competing priorities in a fast-paced, client-driven environment.
