The Morgan Stanley Private Credit (MSPC") Liability Management team is responsible for the negotiation, structuring, execution, and management of fund level financing solutions across a spectrum of different Direct Lending funds and separately managed accounts. The VP/Executive Director - Liability Management will work in conjunction with the CFO of the direct lending platform and Head of Capital Markets on executing various financing solutions including securitizations, subscription-lines, corporate revolvers, asset-based facilities, unsecured bonds, and other bespoke financing solutions for various direct lending funds.

Job Description:
- Leading the negotiating, structuring, executing, and documenting of new/amended secured credit facilities for MSPC including, but not limited to Collateralized Loan Obligations (CLO"), Corporate Revolvers, Asset Based Credit Facilities, Subscription/Capital Call Facilities, warehouse transactions, and rated note structures
- Working with liability management team to ensure liquidity and capacity analysis across various MSPC funds to fund new investments as well as existing obligations
- Liaise with MSPC finance team to explain accounting implications of new or amended financing arrangements on fund performance
- Preparing internal documentation and presentations, as necessary, including board approval presentations for new and amended transactions
- Coordinate with rating agencies to obtain relevant issuer or portfolio company ratings or credit estimates
- Work with liability management team, including Head of Capital Markets, to conduct research on competitors' debt capital market transactions such as covenants, pricing, and terms.
- Research and develop new product ideas related to new and existing business initiatives
- Mentor junior staff across Finance and Middle Office to help develop their knowledge and skillset pertaining to Structured Products
- Prepare ad-hoc analysis and reports as requested by senior management or Fund LPs

- Bachelor's Degree; preferably in Finance, Accounting, or Economics
- 10+ years of experience in financial industry, preferably in finance or accounting
- Minimum 7 years direct experience in a structured products position at another private credit direct lender or in a structuring and/or lending capacity at a CLO arranging bank that provided financing and/or CLO arranging to the middle market private credit industry
- Experience with leverage facility loan documentation
- Experience with private credit direct lending terms, concepts, underwriting, risk and return dynamics in order to explain our strategy to leverage providers
- Strong analytical, negotiation, problem solving, written and verbal communication skills
- Strong financial modeling skills
- Strong academic record with prior experience working in an analytical and team environment
- Ability to work independently with demonstrated strong time management skills
- High level of accountability and ability to effectively prioritize tasks

Wage Transparency Statement:

Expected base pay rates for the role will be between $150,000 and $275,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
