Role
Hologic is looking for an experienced commercial attorney to be ourCorporate Counseland help manage a broad range of commercial and operational transactional legal needs for large (more than $1 Billion in revenue) Diagnostic Solutions business unit. This position will be based in San Diego and will report to our Vice President & Assistant General Counsel, Diagnostic Solutions.
Essential Duties and Responsibilities
- Participate in all legal aspects of the Diagnostic Solutions business unit, including preparing and negotiating commercial contracts relating to customer and vendor/supplier arrangements, providing legal support for existing collaborations and licensing deals and working with business unit on new collaborative and licensing opportunities, working on acquisitions/dispositions engaged in by the business unit, and managing litigation on an as-needed basis.
- Negotiate and document a variety of commercial agreements, including clinical trial agreements, research study agreements, professional services agreements, supply agreements, material transfer agreements, confidentiality agreements, and other commercial agreements.
- Provide legal advice and assist Contract Administration team with customer facing sales agreements, request for proposals, etc.
- Deliver guidance, advice and training on the requirements of the Sunshine Act, federal anti-kickback statute, and related regulations, guidelines and state laws.
- Work closely with regulatory, sales and marketing groups to review marketing and advertising collateral.
- Oversee and direct efforts of Legal Administrator with respect to standard form agreements such as confidentiality agreements, professional services agreements and material transfer agreements.
- Facilitate the preparation of SEC periodic filings by publicly traded parent company and coordinate with other departments (e.g., finance, tax, etc.) as needed to support these efforts.
- Provide litigation support and/or general assistance to the Vice President &Assistant General Counsel, Diagnostic Solutions, and outside counsel, on an as needed basis.

- Customer service focus and practical, results oriented, problem-solving approach are a must.
- Ability to understand, interpret and explain contractual terms and conditions and legal principles to internal business “customers” and work collaboratively with other team members to negotiate agreements while minimizing risk to company.
- Ability to function independently and deliver results with minimal supervision.
- Strong communication skills, both written and oral.
Education
- Law degree (JD or equivalent) with excellent academic credentials
Experience
- 5+ years of hands-on experience in an in-house legal department (preferably witha medical device, pharmaceutical or bio-technology company) and/or in a corporate/transactional practice at a top-tier law firm.
Specialized Knowledge
- Significant experience and expertise in preparing and negotiating commercial agreements.
- Familiarity with fraud and abuse, anti-kickback and other federal and state rules and regulations applicable to medical device companies.
- Experience with mergers and acquisitions, and other significant business transactions (e.g., collaborations, licensing agreements, etc.)
- Familiarity with basic SEC reporting obligations.
- Applicants must be qualified to practice law in the State of California or be eligible to qualify.
The annualized base salary range for this role is $150,000 to $250,000 and is bonus eligible. Final compensation packages will ultimately depend on factors including relevant experience, skillset, knowledge, geography, education, business needs and market demand.
