GVW Group? Overview: The General Counsel (GC) will serve as the chief legal officer of GVW Group, overseeing all legal matters pertaining to the company. The GC will provide expert and strategic legal advice to the executive team, ensure legal compliance, manage legal risks, and oversee the legal aspects of business transactions. This role requires a proactive and experienced legal professional with a strong understanding of the various industries in which the company operates. Key
Responsibilities: 1.
Legal Advisory and Compliance: Provide counsel to the senior management on legal matters. Ensure the company’s compliance with all applicable laws and regulations. Develop and implement legal policies and procedures to mitigate risks. Monitor changes in laws and regulations that may impact the company’s operations. 2.
Corporate Governance: Oversee corporate governance practices and ensure adherence to best practices. Prepare and review corporate documents Advise on corporate structure and manage legal aspects of corporate transactions 3.
Contract Management: Draft, review, and negotiate a wide range of contracts and agreements, including partnership agreements, vendor contracts, and service agreements. Ensure all contracts are legally sound and align with the company’s strategic objectives. 4.
Litigation and Dispute Resolution: Manage and oversee all litigation and dispute resolution matters involving the company. Coordinate with external legal counsel as necessary and represent the company in legal proceedings. Develop strategies to minimize litigation risks. 5.
Risk Management: Identify potential legal risks and develop strategies to mitigate them. Conduct regular risk assessments and implement measures to safeguard the company’s interests. 6.
Human Resources and Employment Law: Provide legal support on employment law matters, including employee relations, labor disputes, and compliance with employment regulations. Draft and review employment contracts, non-disclosure agreements, and non-compete clauses. 7.
Regulatory Affairs: Ensure compliance with industry-specific regulations and standards. Liaise with regulatory bodies and manage regulatory filings and submissions. Qualifications: •
Juris Doctor (JD) degree from an accredited law school. •
Minimum of 15 years of legal experience, with significant experience in a corporate legal department or law firm. •
Proven track record as a General Counsel or senior legal executive, preferably within a private holding company or similar environment. •
Extensive knowledge of corporate, commercial, and regulatory law. •
Strong negotiation, communication, and interpersonal skills. •
Ability to manage multiple projects and priorities in a fast-paced environment. •
High ethical standards and professional integrity. Preferred Qualifications: •
Experience
in the
manufacturing
industry. •
