Senior Legal Counsel

BDG is looking for a Senior Legal Counsel to join its legal team! This key strategic role will provide legal support, counsel, and advise on various legal issues and the negotiation, drafting, and management of agreements for a broad range of topics and transactions.
The ideal candidate is a highly self-motivated, business-minded attorney who can manage multiple projects and competing priorities comfortably, and brings extraordinary judgment and interpersonal skills to the role.
Responsibilities
Oversee and provide guidance to the contracts manager. Review, draft and negotiate insertion orders, master service agreements, custom content addendums and ancillary documentation related to the creation and distribution of advertising content. Review, draft and negotiate talent agreements and commercial agreements with vendors or other partners, including professional services agreements, nondisclosure agreements, master services agreements and statements of work, and similar agreements. Collaborate cross-functionally with a variety of business units, including ad sales, events, business development, licensing, ad ops, branded content, finance, engineering, and marketing teams. Support continuous improvement projects and develop processes, policies and templates. Supervise outside counsel on various matters including corporate transactions, litigation, real estate, and intellectual property matters. Assist with other matters such as pre-litigation dispute resolution and pre-publication review. Provide practical contract guidance and address day-to-day issues arising under existing agreements. Work closely with internal teams to update policies and guidance and support contract simplification efforts. Qualifications
Law degree from an ABA-accredited law school and must be a member in good standing of at least one state bar. Minimum of 5 years of corporate transactional experience with a law firm and/or relevant in-house legal department. Experience with digital publishing, digital advertising sales and ad technology platforms. Experience with privacy laws, regulations, and industry guidelines. Ability to translate complex legal issues to business partners and offer pragmatic guidance. Proven ability to handle multiple projects and prioritize and meet deadlines within a fast-paced environment. Strong communication and organizational skills, including clear and effective written and verbal communication skills, negotiating skills, and strong legal drafting abilities. Curiosity about all aspects of BDG’s business and a willingness to learn and contribute to an interdisciplinary team. Team player and consensus builder who can effectively collaborate and build relationships with attorneys and business leaders throughout the organization.
