The Microsoft Corporate, External and Legal Affairs (CELA) department has an immediate opening for a dynamic, highly motivated, experienced Assistant General Counsel Federal Sales and Services to lead a team of experienced lawyers providing legal support for all aspects of Microsoft’s product sales and services business with the U.S Government (USG). This role will provide support across legal, compliance, and regulatory matters related to USG’s purchase of Microsoft’s portfolio of software, cloud computing (Software as a Service, Infrastructure as a Service, Platform as a Service, Network as a Service), emerging technologies such as Artificial Intelligence (AI), devices, and professional services (product support and consulting). This role will have frequent engagement with all levels of Microsoft senior executives, technical experts, outside partners, USG agencies and vendors as well as the breadth of Microsoft’s global CELA team. Experience with USG legal, contracting and acquisition/ procurement scenarios is required.
**Responsibilities**
The responsibilities of this position will primarily include:
_Team Management_
+ Lead, manage and coach the existing Microsoft Federal sales and services legal team comprised of experienced attorneys.
+ Hire and help onboard and develop new and existing talent.
+ Coordinate and leverage law department expertise across all of Microsoft to the extent necessary in support of the Microsoft Federal business.
_Trusted Executive Advisor_
+ Serve as a trusted advisor and counselor to the Microsoft Federal leadership team. Engage and advise global CELA and business senior leaders with comprehensive, world-class business and legal advice, counsel and support on Federal matters related to deal excellence.
_Transaction and Compliance Support_
Responsible for oversight and efficient execution in the following areas:
+ Provide legal guidance and government transactional sales and procurement/acquisition support to the Microsoft Federal business involving complex cloud computing and emerging technology including AI.
+ Draft, review, negotiate and advise business clients on a wide range of agreements relative to complex cloud computing and technology transactions, including direct and indirect sales contracts, task orders, reseller agreements, Other Transaction Authority (OTA) transactions, strategic alliances, software licensing, consulting services, product support, and all other agreements with USG customers and partners.
+ Support compliance programs, systems, processes and training appropriate for a world-class cloud USG defense contractor.
+ Orchestrate issues and input from multiple stakeholders to drive compliant deal closure.
+ Help localize and develop model standard agreements and clauses for future USG transactions.
+ Coordinate legal matters handled by external counsel for large USG transactions, protests and other related projects.
+ Provide and manage legal support for Government Wide Acquisition Contracts (GWACs), Federal Supply Schedule contracts, partner channel programs, Federal prime/subcontractor agreements, RFX responses, and related coordination across internal business and legal stakeholders.
+ Provide and manage legal guidance and support to business clients related to bid protests, government data rights, NDAs, FOIA, ethics and compliance, privacy law, dispute resolution and other general legal matters.
+ Monitor and advise on relevant legal trends, changes in laws and regulation and identify compliance challenges, and mitigation strategies.
+ Develop and deliver training for Microsoft Federal sales and services business clients on legal topics as necessary.
_Strategy Development_
+ Provide strategic advice on newly emerging information technology business and government contracting models, including Artificial Intelligence, Internet of Things (IoT), Cooperative Research and Development Agreements (CRADAs), and OTAs.
+ Provide strategic advice and guidance on rapidly changing privacy, data security, cyber-security and other regulatory issues impacting USG customers and partners.
+ Provide strategic legal advice to ensure operational security, appropriate protection of USG sensitive information at all data classifications, and compliance with all applicable laws, regulations, policies and other obligations of a world-class defense contractor.
+ Ensure deep alignment and coordination with engineering and other corporate legal teams engaging with or supporting Microsoft’s interactions with the USG.
+ Drive and support protest strategy and execution in coordinating with Litigation, U.S. Government Affairs (USGA), and PR/Communication teams.
+ Support and coordinate policy affecting Microsoft’s USG business with U.S. Government Affairs, Microsoft Office of Legal Compliance, Regulatory Affairs, Corporate Security and Trust, and other Microsoft teams focused on government compliance.
_Outside Counsel and Vendor Coordination_
+ Support budget and drive synergies in management and retention of outside counsel.
**Qualifications**
**Required/Minimum Qualifications**
+ Juris Doctor Degree or international equivalent degree AND 9+ years experience as a practicing attorney
+ OR equivalent experience.
+ Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.
+ 9 years of relevant experience gained in-house, government agency and/ or at a reputable law firm (or combination).
+ Deep knowledge of and practical experience with FAR, DFARS, commercial item procurement, cybersecurity, ITAR, Trade Agreements Act, national security, subcontracting, and other unique U.S. Government contracting requirements.
+ Experience managing a high-performing legal team while maintaining agility, boldness and curiosity.
**Other Requirements**
Citizenship & Citizenship Verification: This position requires verification of U.S citizenship due to citizenship-based legal restrictions. Specifically, this position supports United States federal, state, and/or local United States government agency customers and is subject to certain citizenship-based restrictions where required or permitted by applicable law. To meet this legal requirement, citizenship will be verified via a valid passport.
Citizenship & Citizenship Verification: This role will require access to information that is controlled for export under U.S. export control regulations, potentially under the International Traffic in Arms Regulations or the Export Administration Regulations. As a condition of employment, the successful candidate will be required to provide proof of citizenship, for assessment of eligibility to access the export-controlled information. To meet this legal requirement, citizenship will be verified via a valid passport.
Microsoft Cloud Background Check: This position will be required to pass the Microsoft Cloud background check upon hire/transfer and every two years thereafter.
Preferred Experience:
+ Ability to obtain a U.S. Security Clearance.
+ Experience and knowledge in transactions pertaining to intellectual property rights, data security, and privacy laws.
+ Demonstrated project management skills.
+ Understanding of advanced technologies including artificial intelligence, quantum and blockchain.
+ Demonstrated acumen negotiating complex information technology agreements with the USG and Defense Industrial Base (DIB).
+ Experience in supporting complex enterprise sales, or government agency procurement/acquisition of, IT products (specifically SaaS/PaaS/IaaS/NaaS) and professional services.
+ Demonstrated ability to manage, motivate, inspire, and lead a team to achieve high impact, and foster a high-performance work culture.
+ Abilty to work under pressure and relentless priortization skills.
+ Pragmatic business acumen with strong analytical and drafting skills.
+ Demonstrated ability to work efficiently, meet demanding deadlines and balance multiple tasks in a fast-paced environment with minimal supervision.
+ Excellent oral and written communication skills with high standards of integrity and ethics.
+ Working knowledge of Microsoft Outlook, Office, Word, Teams, and PowerPoint.
+ Ability to work independently, collaboratively, and effectively in a team environment.
+ A Team player who enjoys partnering with cross-functional teams to solve complex issues in a highly matrixed environment.
Legal Counsel M6 - The typical base pay range for this role across the U.S. is USD $154,500 - $273,400 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $199,600 - $299,400 per year.
