A law firm in Chicago, IL is seeking a Senior Corporate Attorney with a focus on Mergers and Acquisitions (M&A) to join their team. The ideal candidate will have 6+ years of experience in M&A, including private company transactions, corporate governance, and commercial contracts. Experience with private equity, sophisticated M&A transactions, and private securities offerings is a plus. The ability to bring portable business is also highly valued. Duties: Lead and manage M&A transactions for private companies, including due diligence, negotiation, and deal structuring. Provide strategic legal advice on corporate governance, LLC/shareholder agreements, and commercial contracts. Advise middle-market companies on a variety of general corporate matters and legal strategies. Oversee the drafting, review, and negotiation of complex M&A agreements and related documents. Manage and coordinate with clients, opposing counsel, and other stakeholders throughout the transaction process. Conduct legal research and analysis to support M&A transactions and corporate governance issues. Stay abreast of legal and regulatory developments related to M&A, private equity, and corporate law. Mentor and supervise junior attorneys and support staff as needed. Develop and maintain client relationships, and contribute to business development efforts. Requirements: Juris Doctor (JD) degree from an ABA-accredited law school. Admission to the Illinois Bar or eligibility to obtain admission promptly. 6+ years of experience in M&A, including significant experience with private company transactions. Strong understanding of corporate governance, commercial contracts, and LLC/shareholder agreements. Experience with private equity, sophisticated M&A transactions, and private securities offerings is preferred. Portable business is a plus. Skills: Exceptional analytical and problem-solving skills. Proven ability to lead and manage complex M&A transactions. Excellent written and verbal communication skills. Strong negotiation and drafting skills. Ability to work independently and manage multiple priorities effectively. Proficiency in legal research tools and case management software. Strong client relationship and business development skills.
