Corporate Securities Associate Attorney

A law firm in Boston, MA, is seeking a Corporate Securities Associate Attorney with a minimum of 3 years of experience. The ideal candidate will lead '34 Act compliance and '33 Act securities work, with significant experience in capital markets transactions, corporate governance matters, and executive compensation. Duties: Lead '34 Act compliance and '33 Act securities work. Handle capital markets transactions, including public and private offerings of equity, debt, and other securities. Address corporate governance matters and executive compensation. Ensure compliance with exchange listing requirements, Rule 144, Section 13, and Section 16 issues. Provide legal counsel on a range of securities-related issues. Requirements: Admission to practice law in the state of Massachusetts is essential. Minimum of 3 years of experience in corporate securities law. Strong understanding of '34 Act compliance and '33 Act securities regulations. Experience with capital markets transactions and corporate governance matters. Familiarity with executive compensation and exchange listing requirements.
