POSITION SUMMARY
The Deputy General Counsel, Corporate will assist the General Counsel in overseeing the legal affairs of the company. This position collaborates with various departments and plays a critical role in drafting, reviewing, and negotiating a variety of contracts to ensure compliance with laws and regulations while protecting the Company’s interests. This role also involves providing legal advice and support to internal stakeholders on a wide range of issues, including privacy and data protection laws, intellectual property, employment, corporate governance, and litigation. The Deputy General Counsel will have a significant role in the decision-making process and will be instrumental in achieving the Company’s strategic objectives. RESPONSIBILITIES
Satisfactorily performing and/or achieving the following Responsibilities are essential duties of the job. Contract Review, Negotiation and Management:
Draft, review, and negotiate a wide variety of contracts. Collaborate with all departments to ensure that contract terms align with the operational and strategic needs of the organization. Privacy and Data Protection:
Oversee the company’s privacy policies and procedures to ensure compliance with applicable data protection laws and regulations. Advise internal stakeholders on privacy-related issues and best practices for data handling and protection. Monitor changes in privacy legislation and ensure the company’s policies are updated in response to new legal requirements. Collaborate with IT and security teams to safeguard customer and employee data against unauthorized access and data breaches. Intellectual Property:
Assist in the management of the company's intellectual property portfolio, including trademarks, copyrights, and patents. Advise on the protection and enforcement of the company’s intellectual property rights. Oversee intellectual property litigation and disputes. Corporate Governance:
Assist in the preparation and review of board materials and corporate governance documents. Ensure compliance with corporate governance policies and procedures. Support the General Counsel in managing board meetings and maintaining corporate records. Litigation Management:
Manage and oversee litigation and dispute resolution matters. Coordinate with outside counsel as needed. Advisory Role:
Provide proactive legal advice to internal stakeholders on contract terms, potential legal implications, and business operations. Develop and deliver training programs to educate employees on relevant legal topics, contract management practices, and compliance requirements. Initiate and contribute to the development of innovative legal processes and systems to enhance efficiency and effectiveness. Work to foster a collaborative and high-performance team environment. EXPERIENCE / COMPETENCIES / PROFICIENCIES
Juris doctorate (JD) and 5-7 years of experience in corporate or commercial law, ideally within the health and wellness sector. Must have bar licensure in South Carolina, California, or New York. Demonstrated experience in drafting, reviewing, and negotiating complex commercial agreements. Demonstrated knowledge of privacy and data protection laws, including experience advising on compliance with GDPR, CCPA, and other applicable privacy regulations. Familiarity with technology and data privacy laws to support the company’s privacy and data protection initiatives. What We Offer:
